Terms and Conditions

1. Scope of Engagement: This Purchase Order authorizes the engagement of the named Accountant to perform the financial and accounting services as described above at the company's principal office located in Nigeria Abuja, Federal Capital Territory. The Accountant shall be required to be physically present at the Nigeria Abuja office premises on all working days from Monday to Friday, 8:00 AM to 5:00 PM, unless otherwise agreed in writing.

2. Payment Terms: Payment for the services rendered under this Purchase Order shall be made on a monthly basis within fourteen (14) calendar days of receipt of a valid tax invoice from the Accountant. Payment shall be made via bank transfer to the account designated by the Accountant. All payments are subject to the applicable Withholding Tax (WHT) deductions as prescribed by the Federal Inland Revenue Service for services rendered in Nigeria Abuja.

3. Compliance and Professional Standards: The Accountant shall at all times adhere to the International Financial Reporting Standards (IFRS) as adopted in Nigeria, the Nigerian National Accounting Standards, and the professional code of conduct of the Institute of Chartered Accountants of Nigeria (ICAN). The Accountant shall maintain strict confidentiality of all financial records, proprietary data, and business information of Abuja Corporate Services Limited.

4. Performance and Reporting: The Accountant shall submit a comprehensive monthly financial report to the Finance Director no later than the 10th business day of the following month. Quarterly reports shall be presented to the Board of Directors during scheduled meetings in Nigeria Abuja. Failure to meet reporting deadlines without valid justification may result in a penalty of 2% of the monthly service fee per day of delay.

5. Termination: Either party may terminate this Purchase Order engagement by providing thirty (30) days written notice to the other party. In the event of termination, the Accountant shall be compensated for all services rendered up to the effective date of termination. All company records, ledgers, and financial documents in the possession of the Accountant must be returned to the company within seven (7) days of termination.

6. Governing Law: This Purchase Order and the services described herein shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this engagement shall be resolved through arbitration in Nigeria Abuja in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.

7. Insurance and Indemnity: The Accountant shall maintain professional indemnity insurance with a minimum coverage of ₦50,000,000 (Fifty Million Naira) throughout the duration of this Purchase Order. The Accountant shall indemnify and hold harmless Abuja Corporate Services Limited against any claims, losses, or liabilities arising from negligence, gross misconduct, or professional errors in the performance of accounting services.

8. Data Protection: In compliance with the Nigeria Data Protection Act 2023, the Accountant shall ensure that all personal data processed in the course of performing duties under this Purchase Order is handled securely, stored in Nigeria Abuja, and not transferred outside the country without explicit written consent from the Data Controller.
