1. Description of Services – Accountant Engagement
This Purchase Order is issued by Al-Madina Textile Industries (Pvt.) Ltd., a registered manufacturing entity operating in Karachi, Pakistan, to formally engage the services of a qualified Accountant for the fiscal year 2025–2026. The selected Accountant shall provide comprehensive financial, accounting, and tax advisory services as detailed below. This Purchase Order constitutes a binding agreement between the parties and shall be governed by the commercial laws applicable in Pakistan Karachi and the broader Sindh province.

2. Terms and Conditions
- Scope of Work: The Accountant engaged under this Purchase Order shall perform all duties in strict compliance with the International Financial Reporting Standards (IFRS) as adopted by the Institute of Chartered Accountants of Pakistan (ICAP) and the tax laws administered by the Federal Board of Revenue (FBR) in Pakistan Karachi.
- Payment Schedule: Payment shall be made on a monthly basis via bank transfer to the Accountant's designated account. Invoices must be submitted by the 5th of each month, and payment shall be processed within 15 calendar days. Late payments shall attract interest at the rate of 1.5% per month as per the Negotiable Instruments Ordinance, 2015.
- Confidentiality: The Accountant shall maintain strict confidentiality over all financial records, trade secrets, and proprietary information of Al-Madina Textile Industries. Breach of confidentiality shall render the Accountant liable for damages under the Pakistan Penal Code and the applicable data protection provisions.
- Compliance and Licensing: The Accountant must maintain a valid ICAN/ICAP registration throughout the contract period. The issuing company reserves the right to verify the Accountant's professional credentials at any time during the engagement in Pakistan Karachi.
- Tax Deductions: All payments made under this Purchase Order are subject to withholding tax at the applicable rate as prescribed under the Income Tax Ordinance, 2001. The Accountant shall be responsible for declaring such income in their personal tax return filed with the FBR, Karachi.
- Termination: Either party may terminate this Purchase Order by providing 30 days' written notice. In the event of material breach, termination may be effected immediately upon written notice. All outstanding invoices for services rendered prior to termination shall be settled within 15 days.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within 30 days, the matter shall be referred to arbitration in Karachi, Sindh, in accordance with the Arbitration Act, 1940 of Pakistan.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns, or changes in tax legislation in Pakistan.
- Subcontracting: The Accountant shall not subcontract any portion of the services without prior written consent from the issuing company. All work shall be performed by the named Accountant or their directly supervised team based in Pakistan Karachi.
3. Acceptance and Authorization
This Purchase Order is issued and authorized by the undersigned on behalf of Al-Madina Textile Industries (Pvt.) Ltd. The Accountant's acceptance of this Purchase Order shall be deemed upon signature below or upon commencement of services, whichever occurs first. This document, together with any annexures, forms the complete agreement between the parties regarding the engagement of Accountant services in Pakistan Karachi.
