- Scope and Performance: The Accountant and the supporting team shall perform all duties in strict compliance with the Peruvian Tax Code (Código Tributario), the regulations issued by SUNAT (Superintendencia Nacional de Aduanas y de Administración Tributaria), and the accounting standards (NIIF) as adopted in Peru. All work shall be delivered from the service provider's office in Miraflores, Lima, or remotely as agreed, with on-site visits to the Buyer's premises in San Isidro, Lima, no fewer than two (2) times per month.
- Confidentiality: The Accountant shall maintain absolute confidentiality over all financial records, payroll data, and proprietary business information of Andina Corporations S.A.C. This obligation survives the termination of this Purchase Order for a period of five (5) years, in accordance with Peruvian data protection law (Ley N° 29733).
- Payment: Invoices shall be issued monthly by the 5th business day. Payment shall be made via bank transfer to the account designated by the Supplier within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at the maximum rate established by the Central Reserve Bank of Peru (BCRP) in Lima.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach by the Accountant, including but not limited to failure to file mandatory tax returns with SUNAT, the Buyer may terminate immediately upon written notice.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved first through good-faith negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent civil courts of the judicial district of Lima, Peru, or to arbitration before the Lima Chamber of Commerce (Cámara de Comercio de Lima) at the parties' election.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Lima metropolitan area, government-mandated shutdowns, or systemic failures of SUNAT's electronic platforms.
- Compliance with Peruvian Law: The Supplier warrants that the Accountant engaged holds a valid professional registration with the Colegio de Contadores Públicos de Lima and that all services are rendered in full compliance with the labor, tax, and commercial laws of the Republic of Peru.
This Purchase Order becomes effective upon signature by both parties. The Supplier acknowledges receipt of this Purchase Order and agrees to furnish the Accountant services described herein in the City of Lima, Peru, under the terms and conditions set forth above.
