This Purchase Order is issued by Atlantic Ridge Holdings (Pty) Ltd to formally engage the services of a qualified Accountant and associated accounting support team provided by Table Bay Financial & Accounting Services (Pty) Ltd. The engagement is to be performed primarily at the client's registered office in Cape Town, South Africa, with remote support available as required. All amounts are denominated in South African Rand (ZAR). The Accountant shall ensure full compliance with the Companies Act 71 of 2008, the Tax Administration Act 28 of 2011, and all applicable SARS regulations applicable to businesses operating in Cape Town, Western Cape, South Africa.
3.1 This Purchase Order constitutes a binding agreement between Atlantic Ridge Holdings (Pty) Ltd and Table Bay Financial & Accounting Services (Pty) Ltd upon countersignature by both parties. The engagement of the Accountant and support team shall commence on 1 July 2025 and conclude on 30 June 2026, unless terminated earlier in accordance with Clause 3.7.
3.2 The Accountant assigned to this engagement shall be a registered member of the South African Institute of Professional Accountants (SAIPA) or the Institute of Directors in Southern Africa (IODSA), and shall hold a valid professional indemnity insurance policy with a minimum cover of R 5,000,000.00.
3.3 Payment terms: Invoices shall be submitted by the Accountant on the last working day of each calendar month. Payment shall be made within thirty (30) days of receipt of a valid tax invoice via electronic funds transfer (EFT) to the bank account specified in Section 1. Late payments shall attract interest at the rate of 10% per annum, as prescribed by the Late Payment of Debts Act 11 of 2011 (South Africa).
3.4 The Accountant shall maintain strict confidentiality in accordance with the Protection of Personal Information Act (POPIA) 4 of 2013. All financial records, employee data, and proprietary business information of Atlantic Ridge Holdings (Pty) Ltd shall be treated as confidential and shall not be disclosed to any third party without prior written consent.
3.5 The service delivery location for on-site work shall be the client's premises at 12 Bree Street, V&A Waterfront, Cape Town, 8001, South Africa. The Accountant is required to be physically present at the Cape Town office no fewer than two (2) full days per month for reconciliation, review, and advisory sessions. All other services may be rendered remotely.
3.6 The Accountant shall provide a written progress report to the client's Finance Director by the fifth (5th) business day of each month, detailing completed tasks, outstanding items, and any compliance risks identified during the period.
3.7 Either party may terminate this Purchase Order engagement with thirty (30) days' written notice. In the event of termination, the Accountant shall deliver all completed and in-progress work products, including working papers, within fourteen (14) days of the termination date.
3.8 This agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the High Court of South Africa, Western Cape Division, Cape Town.
This Purchase Order is authorised for release by the undersigned on behalf of Atlantic Ridge Holdings (Pty) Ltd. The Accountant service provider is requested to confirm acceptance by signing and returning a copy of this document within five (5) business days of receipt.
