- This Purchase Order constitutes a binding agreement between Savanna Ridge Holdings (Pty) Ltd and Meridian Accounting & Advisory Services (Pty) Ltd for the provision of professional Accountant services as described herein, effective from 1 July 2025 through 30 June 2026.
- All services shall be performed by a registered Accountant holding a valid CA(SA) designation issued by the South African Institute of Chartered Accountants (SAICA), and shall be conducted in full compliance with the Companies Act 71 of 2008, the Tax Administration Act 28 of 2011, and all applicable financial reporting standards in South Africa.
- The Accountant engaged under this Purchase Order shall maintain strict confidentiality of all financial records, client data, and proprietary business information pertaining to the Johannesburg, South Africa operations. A Non-Disclosure Agreement (NDA) is attached as Annexure A and forms an integral part of this document.
- Payment shall be made via Electronic Funds Transfer (EFT) to the supplier's designated bank account in South Africa within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 10% per annum as prescribed by the Late Payment of Interest Act 3 of 2003.
- All deliverables, including monthly management reports, tax filings, and annual financial statements, shall be submitted to the purchasing entity's registered office in Sandton, Johannesburg, South Africa, or via secure electronic transmission to the email address specified in Section 1 above.
- The supplier warrants that the Accountant assigned to this engagement shall devote a minimum of forty (40) hours per month to the services outlined in this Purchase Order and shall be available for on-site meetings at the Johannesburg office no fewer than two (2) times per month.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall be compensated for all services rendered up to the effective date of termination, and all outstanding tax filings for the current period must be completed before the engagement concludes.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of Johannesburg, South Africa, or alternatively resolved through arbitration in Johannesburg under the rules of the Arbitration Foundation of Southern Africa (AFSA).
- The supplier shall maintain professional indemnity insurance of no less than R 5,000,000.00 for the duration of this engagement, with a certificate of insurance to be provided upon request.
- All prices quoted in this Purchase Order are in South African Rand (ZAR) and are inclusive of all travel, communication, and administrative costs within the Johannesburg metropolitan area. Any services required outside the Johannesburg, South Africa region shall be quoted separately and require prior written approval.
