1. Description of ProcurementThis Purchase Order is issued by Siam Pacific Business Solutions Co., Ltd. (hereinafter referred to as the "Buyer") to Bangkok Professional Accounting Services Co., Ltd. (hereinafter referred to as the "Vendor") for the procurement of a full-time Accountant professional to be assigned to the Buyer's corporate office located in Thailand Bangkok. The Accountant shall be responsible for all financial record-keeping, statutory tax filings, monthly and annual financial reporting, payroll processing, and compliance with the Revenue Department of Thailand as well as the Department of Business Development. The engagement is structured as a professional services contract under Thai labour law (Labour Protection Act B.E. 2541) and shall be governed by the laws of the Kingdom of Thailand.

- Scope of Work: The Accountant engaged under this Purchase Order shall perform all duties in accordance with the professional standards set by the Institute of Certified Public Accountants of Thailand (ICPAIT) and shall report directly to the Chief Financial Officer of the Buyer's Thailand Bangkok office.
- Contract Duration: This Purchase Order is valid for a period of twelve (12) months commencing on 01 July 2025 and expiring on 30 June 2026, unless renewed in writing by both parties no later than thirty (30) days prior to expiry.
- Payment Terms: Invoices shall be submitted by the Vendor on the last business day of each calendar month. Payment shall be made via bank transfer to the Vendor's designated account within fifteen (15) business days of receipt of a valid tax invoice (Fap Tur) issued in compliance with Thai Revenue Department regulations applicable in Thailand Bangkok.
- Compliance and Regulation: The Vendor warrants that the Accountant holds a valid Thai CPA licence and that all services rendered shall comply with the Thai Revenue Code, the Labour Protection Act, the Social Security Act B.E. 2533, and all applicable municipal regulations of the Thailand Bangkok Metropolitan Administration.
- Confidentiality: The Accountant and the Vendor shall maintain strict confidentiality over all financial data, trade secrets, and proprietary information of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations for services rendered up to the date of termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the Bangkok Commercial Court in Thailand Bangkok in accordance with Thai civil procedure law.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. The primary place of performance is the Buyer's registered office in Thailand Bangkok.
- Insurance and Indemnity: The Vendor shall maintain professional indemnity insurance with a minimum coverage of THB 5,000,000 for the duration of this Purchase Order and shall indemnify the Buyer against any claims arising from negligence or professional misconduct by the Accountant.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in Thailand Bangkok, or acts of war, provided that the affected party notifies the other within five (5) business days.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of an Accountant professional in Thailand Bangkok. This document constitutes a binding agreement upon execution by both authorized representatives.
