- Acceptance: This Purchase Order shall become binding upon written acceptance by the Accountant within ten (10) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Place of Performance: All services described in this Purchase Order shall be performed at the offices of Al Noor Financial Services LLC, Al Reem Island, Abu Dhabi, United Arab Emirates, or at such other location within Abu Dhabi as mutually agreed in writing.
- Qualification Requirements: The Accountant engaged under this Purchase Order must hold a valid professional license issued by the Abu Dhabi Institute of Accountants, possess a minimum of eight (8) years of post-qualification experience in the United Arab Emirates, and maintain professional indemnity insurance with a minimum coverage of AED 2,000,000.
- Payment Schedule: Invoices shall be submitted monthly by the Accountant on or before the fifth (5th) business day of the following month. Payment shall be made via bank transfer to the Accountant's designated UAE bank account within thirty (30) days of receipt of a valid tax invoice.
- Confidentiality: The Accountant shall maintain strict confidentiality over all financial data, client information, and proprietary records of the issuing company in accordance with the UAE Federal Decree-Law No. 46 of 2021 on the Protection of Personal Data.
- Compliance: The Accountant shall ensure full compliance with all applicable laws and regulations of the United Arab Emirates, including but not limited to the UAE Commercial Companies Law, the Federal Tax Authority regulations, and Abu Dhabi municipal and labor ordinances.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Accountant shall be compensated for all services rendered up to the effective date of termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through the Abu Dhabi Global Market (ADGM) Courts or, alternatively, through arbitration in accordance with the ADGM Arbitration Rules, with the seat of arbitration in Abu Dhabi, United Arab Emirates.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies declared in the United Arab Emirates.
- Entire Agreement: This Purchase Order, together with any attached schedules and the Accountant's professional engagement letter, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the engagement of the Accountant in Abu Dhabi.
By signing below, the parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Accountant in Abu Dhabi, United Arab Emirates.
