Terms and Conditions

Acceptance: This Purchase Order constitutes a binding agreement upon signature by both parties. The Accountant firm, Coral Gables Accounting Partners, P.A., acknowledges receipt and acceptance of this Purchase Order for the provision of professional Accountant services in United States Miami.
Professional Standards: The Accountant shall perform all duties in strict compliance with the AICPA Code of Professional Conduct, Florida Board of Accountancy regulations, and all applicable United States federal tax laws. The Accountant shall maintain professional independence and objectivity throughout the engagement period.
Confidentiality: The Accountant and all associated personnel shall maintain strict confidentiality regarding all financial records, proprietary data, and business information of Biscayne Bay Holdings LLC. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Payment Schedule: Invoices shall be submitted by the Accountant on the last business day of each month. Payment shall be remitted within thirty (30) calendar days of the invoice date via ACH transfer to the account designated by the Accountant firm in United States Miami. Late payments shall accrue interest at 1.5% per month.
Service Location: All on-site services shall be performed at the Purchasing Party's office located in United States Miami, FL 33132, or at the Accountant's office at 1000 Coral Way, United States Miami, FL 33145, as mutually agreed upon in writing.
Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Accountant shall complete all outstanding work and deliver final financial reports within thirty (30) days of the termination effective date.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in United States Miami, Florida. If mediation fails, disputes shall be subject to binding arbitration under the rules of the American Arbitration Association, with the seat of arbitration in United States Miami.
Insurance: The Accountant firm shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 aggregate, valid throughout the term of this Purchase Order.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the United States Miami metropolitan area, acts of government, or pandemics.
Amendments: This Purchase Order may only be amended in writing, signed by authorized representatives of both parties. No verbal modifications to the scope of Accountant services or pricing shall be valid.
