All Actor-branded equipment listed in this Purchase Order shall be delivered to the Buyer's premises at Banani, Dhaka-1213, Bangladesh. Delivery is scheduled no later than 30 July 2025. The Seller, Actor Professional Equipment International, is responsible for all packaging, export documentation, international freight, customs clearance at the Chittagong Port or Dhaka Airport (as applicable), and final delivery to the designated address in Dhaka. A dedicated Actor technical representative shall accompany the shipment to oversee unloading, initial setup verification, and a 48-hour on-site commissioning period at the Buyer's theatre facility in Dhaka.
5. Terms and Conditions- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by Actor Professional Equipment International. The Buyer's signature below confirms authorization to proceed with the order.
- Payment: A 30% advance payment (BDT 1,541,100.00) shall be remitted via bank transfer to Actor's designated account within 7 working days of order confirmation. The remaining 70% balance (BDT 3,595,900.00) is due within 30 days of successful delivery and commissioning in Dhaka.
- Warranty: All Actor products carry a minimum 24-month manufacturer's warranty from the date of commissioning in Dhaka. Warranty service shall be provided through Actor's authorized service partner in Dhaka, Bangladesh.
- Quality & Compliance: All Actor equipment must comply with Bangladesh National Standards (BNS) for electrical safety and electromagnetic compatibility. Certificates of conformity shall accompany each shipment.
- Penalty for Delay: In the event of delivery delay beyond the stipulated date, Actor shall pay a penalty of 0.5% of the total order value per calendar day of delay, capped at 10% of the total order value.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Bangladesh Arbitration Act, 2001. The governing law shall be the laws of the People's Republic of Bangladesh.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government restrictions, port closures, or other events beyond reasonable control, provided written notice is given within 48 hours.
- Intellectual Property: All Actor brand names, trademarks, and product designs remain the exclusive property of Actor Professional Equipment International. The Buyer shall not reproduce or redistribute Actor materials without written consent.
