• 40% milestone payment (R$ 3,780,720.00) due upon successful completion of Actor platform installation, data migration, and integration testing, as certified by the buyer's IT department in Rio de Janeiro.
• 30% final payment (R$ 2,835,540.00) due within 30 days of the Go-Live date and completion of the hypercare period.

All payments are subject to the terms of Brazilian commercial law (Código Civil Brasileiro, Lei 10.406/2002) and applicable foreign exchange regulations set forth by the Central Bank of Brazil (Banco Central do Brasil – BACEN). The seller shall provide all necessary documentation for the buyer to process the international remittance in compliance with BACEN foreign exchange rules.

1. This Purchase Order is governed by the laws of the Federative Republic of Brazil. Any disputes arising from this Purchase Order shall be resolved by arbitration in the city of Rio de Janeiro, RJ, Brazil, in accordance with the rules of the CAMARB (Câmara de Arbitragem do Mercado).
2. The Actor platform and all associated intellectual property remain the exclusive property of Actor Technologies International Ltd. The buyer is granted a non-exclusive, non-transferable license to use the Actor software within its facilities in Rio de Janeiro, Brazil, for the duration of the subscription term.
3. The seller warrants that the Actor platform shall be free from material defects and shall perform in accordance with the specifications outlined in the attached technical annex. The warranty period is 12 months from the Go-Live date.
4. All personal data processed through the Actor platform in Brazil shall be handled in strict compliance with the Brazilian General Data Protection Law (LGPD – Lei nº 13.709/2018). The seller shall execute a Data Processing Agreement (DPA) prior to any data transfer.
5. The seller shall maintain a local support presence in Brazil, with a designated technical support team accessible in Portuguese, to ensure timely resolution of any issues affecting the Actor platform deployment in Rio de Janeiro.
6. Force majeure events, including but not limited to natural disasters, government sanctions, or disruptions in telecommunications infrastructure affecting Rio de Janeiro, Brazil, shall excuse delayed performance for the duration of such event, provided written notice is given within 5 business days.
7. This Purchase Order becomes effective upon written acceptance by both parties. No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
