The Actor shall report to the Northlake Studios complex in Toronto, Canada, no later than 07:00 EST on the first scheduled shooting day, which is anticipated to be August 4, 2025. Rehearsal and table read sessions shall commence on July 28, 2025, at the same Toronto, Canada location. All performance dates are subject to the production schedule approved by the Director and the Head of Production. Any changes to the schedule in Toronto, Canada, must be communicated to the Actor and the vendor no fewer than forty-eight (48) hours in advance.
Payment for the services rendered by the Actor shall be made in accordance with the following schedule: fifty percent (50%) of the total Purchase Order amount shall be due upon execution of this Purchase Order and confirmation of the Actor's availability. The remaining fifty percent (50%) shall be due within thirty (30) calendar days following the completion of all shooting days in Toronto, Canada. All payments shall be processed via electronic funds transfer (EFT) to the vendor's designated bank account in Canada. Late payments shall incur interest at a rate of 1.5% per month, in compliance with the Ontario Construction Act and applicable commercial legislation in Canada.
- This Purchase Order constitutes a binding agreement between Northlake Media Productions Inc. and Stellar Talent Agency Ltd. upon signature by both parties. The engagement of the Actor is governed by the terms set forth herein and by the applicable provisions of the Ontario Employment Standards Act and the Copyright Act of Canada.
- The Actor shall be engaged as an independent contractor for the purposes of this production in Toronto, Canada, unless otherwise specified in a separate written addendum. The vendor is responsible for all statutory deductions, including Canada Pension Plan (CPP) contributions and Employment Insurance (EI) premiums, where applicable.
- The Actor grants Northlake Media Productions Inc. a non-exclusive, worldwide license to use their likeness, voice, and performance in all promotional materials, trailers, and distribution channels related to the production. This license is valid for a period of ten (10) years from the date of first public release.
- All filming and performance activities shall take place within the boundaries of the City of Toronto, Ontario, Canada, unless a written location change is approved by the Buyer. The Actor shall comply with all safety protocols established by the production's Health and Safety Officer in Toronto, Canada.
- In the event of force majeure, including but not limited to severe weather conditions affecting Toronto, Canada, or a declared public health emergency, either party may suspend performance obligations without penalty. The Actor's schedule shall be rescheduled at the earliest mutually agreeable date.
- The vendor warrants that the Actor is free of any conflicting contractual obligations and is legally permitted to perform in Canada. The vendor shall indemnify the Buyer against any claims arising from the Actor's breach of prior agreements.
- This Purchase Order is subject to the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Toronto, Canada, in accordance with the rules of the Arbitration Institute of the Ontario Bar Association.
- The Actor shall maintain professional conduct at all times on and off the set in Toronto, Canada. Any material breach of conduct may result in immediate termination of this Purchase Order without further compensation beyond the days already performed.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Actor in the production to be filmed in Toronto, Canada. This document, together with any attached riders or addenda, forms the complete and exclusive agreement between the parties with respect to the subject matter herein.
