This Purchase Order is issued by Productora Andina Digital SpA, a media production company headquartered in Chile Santiago, for the acquisition of the Actor professional digital production and stage-management software platform. All amounts are subject to final adjustment based on the exchange rate published by Banco Central de Chile on the date of invoice issuance. 1. Governing Law: This Purchase Order and any resulting contract shall be governed by and construed in accordance with the laws of the Republic of Chile, with particular reference to the Chilean Civil Code and the Commercial Code. Any disputes shall be resolved by the competent courts of the Judicial District of Santiago, Chile Santiago.
2. Intellectual Property: All intellectual property rights associated with the Actor platform, including source code, algorithms, proprietary tracking methodologies, and virtual set design engines, remain the exclusive property of Actor Technologies International Inc. The buyer is granted a non-transferable, non-exclusive license to use the Actor software within the premises located in Chile Santiago as specified herein.
3. Warranties: The seller warrants that the Actor platform shall be free from material defects in design and performance for a period of twenty-four (24) months from the date of final acceptance. The seller further warrants that all hardware components shall conform to the specifications outlined in Appendix A of this Purchase Order.
4. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this Purchase Order. This obligation shall survive the termination of the agreement for a period of five (5) years.
5. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters (including seismic events common to the Chile Santiago region), government sanctions, or international trade restrictions.
6. Data Protection: The Actor platform shall comply with Chilean Law Nº 19.628 on the Protection of Private Life and any subsequent amendments. All personal data of actors, crew members, and production personnel processed through the system shall be stored on servers located within Chile or in jurisdictions recognized by the Chilean data protection authority.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice in the event of a material breach by the other party that remains uncured after such notice period.
