All hardware components listed in this Purchase Order shall be delivered to the Buyer's facility in China Beijing (Haidian District Innovation Campus, Gate 3, Receiving Dock B) no later than August 15, 2025. The Seller is responsible for all international shipping, customs clearance in the People's Republic of China, and final-mile delivery within China Beijing. The Actor software license keys and activation credentials shall be transmitted electronically to the Buyer's designated IT administrator no later than August 1, 2025, prior to hardware arrival.

Installation and initial configuration of the Actor platform at the China Beijing site shall be completed within ten (10) business days following hardware delivery. The Seller shall dispatch a team of no fewer than three (3) certified Actor engineers to China Beijing for the installation period. All installation activities must be conducted in accordance with the Buyer's site safety protocols and the applicable construction and electrical codes of China Beijing.

Payment for this Purchase Order shall be made in three (3) installments via wire transfer to the Seller's designated bank account:

• Installment 1 (40%): CNY 4,752,020.00 – Due within ten (10) business days of the Buyer's written acceptance of this Purchase Order.
• Installment 2 (40%): CNY 4,752,020.00 – Due within fifteen (15) business days of confirmed delivery and successful installation of all Actor hardware and software at the China Beijing site.
• Installment 3 (20%): CNY 2,376,010.00 – Due within thirty (30) calendar days following the completion of the Actor training program and the Buyer's written sign-off on the Acceptance Certificate.

All payments shall be made in CNY to the Seller's RMB account held with a licensed bank in China Beijing, in compliance with the State Administration of Foreign Exchange (SAFE) regulations of the People's Republic of China.

The Buyer shall have a period of fifteen (15) calendar days following the completion of installation to test and verify the Actor platform against the technical specifications outlined in Annex A of this Purchase Order. Acceptance shall be deemed granted upon the Buyer's issuance of a written Acceptance Certificate. Any defects or non-conformities in the Actor system identified during the acceptance period must be remedied by the Seller at no additional cost within ten (10) business days.

The Seller warrants that the Actor platform, as delivered under this Purchase Order, shall be free from material defects in design, materials, and workmanship for a period of twenty-four (24) months from the date of Acceptance. This warranty applies specifically to the Actor hardware modules and the Actor software engine as deployed in China Beijing.

All intellectual property rights in the Actor platform, including but not limited to the Actor rendering algorithms, Actor neural-expression models, and Actor proprietary firmware, remain the exclusive property of the Seller. The Buyer is granted a non-transferable, non-exclusive license to use the Actor system solely at its China Beijing facility for the duration of the license term specified herein.

The Seller acknowledges and agrees that all data generated, processed, or stored by the Actor platform while operating in China Beijing shall remain within the borders of the People's Republic of China in accordance with the Cybersecurity Law of the PRC, the Data Security Law, and the Personal Information Protection Law. No Actor system data shall be transmitted to servers located outside of China Beijing without the prior written consent of the Buyer and the relevant Chinese regulatory authorities.

This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising out of or in connection with this Purchase Order, including disputes relating to the Actor platform's performance, delivery, or warranty, shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails within thirty (30) days, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) in China Beijing for binding arbitration in accordance with its then-current arbitration rules. The seat of arbitration shall be China Beijing, and the language of arbitration shall be English.

This Purchase Order constitutes the entire agreement between the Buyer and the Seller with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements relating to the Actor platform procurement. No amendment or modification of this Purchase Order shall be effective unless made in writing and signed by authorized representatives of both parties. In the event of any force majeure event affecting the Seller's ability to deliver the Actor components to China Beijing, the affected party shall notify the other within five (5) business days, and the delivery timeline shall be extended by a period equal to the duration of the force majeure event, not to exceed sixty (60) days.
