• 40% Milestone Payment: USD 423,298.00 due upon successful installation and initial configuration of the Actor platform at the China Shanghai site.
• 30% Final Payment: USD 317,473.50 due upon final acceptance, completion of all training, and issuance of the Certificate of Completion by the buyer.

• The seller warrants that the Actor platform shall be free from material defects in design, materials, and workmanship for a period of 24 months from the date of final acceptance in China Shanghai.
• The buyer shall have a 30-day acceptance period following the completion of the implementation to test the Actor system under normal operating conditions at the China Shanghai facility.

• This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order related to the Actor platform deployment in China Shanghai shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC).
• The seller shall not subcontract any portion of the Actor implementation services in China Shanghai without prior written consent from the buyer.
• All intellectual property rights associated with the Actor platform remain the exclusive property of Actor Global Solutions Inc. The buyer is granted a non-transferable license to use the Actor software within its China Shanghai operations.
• Force majeure events, including but not limited to natural disasters, government regulations, or public health emergencies affecting China Shanghai, shall excuse delayed performance for the duration of such events.
• This Purchase Order constitutes the entire agreement between the parties regarding the purchase and deployment of the Actor platform in China Shanghai and supersedes all prior negotiations, representations, and agreements.
