1. Delivery: All digital licenses and software deliverables for the Actor platform shall be delivered electronically to the buyer's designated IT infrastructure in Colombia Bogotá within fifteen (15) business days of full payment confirmation. On-site implementation services in Bogotá shall commence no later than August 1, 2025.
2. Payment Terms: Payment shall be made in two installments: fifty percent (50%) upon execution of this Purchase Order, and the remaining fifty percent (50%) upon successful completion of the Actor platform deployment and acceptance testing in Colombia Bogotá. Payment shall be processed via international wire transfer to the seller's designated account, subject to Colombian foreign exchange regulations administered by the Banco de la República.
3. Compliance: This Purchase Order and all associated transactions shall comply with the applicable commercial, tax, and data protection laws of the Republic of Colombia, including Ley 1581 de 2012 (Data Protection) and the Colombian Commercial Code. The Actor software shall be configured to meet all regulatory requirements for operation within the Colombia Bogotá jurisdiction.
4. Warranty: The seller warrants that the Actor platform shall be free from material defects for a period of twenty-four (24) months from the date of final acceptance in Colombia Bogotá. Any defects shall be remedied at no additional cost to the buyer.
5. Intellectual Property: All intellectual property rights associated with the Actor software platform remain the exclusive property of Actor Technologies International Ltd. The buyer is granted a non-transferable license for use within its facilities in Colombia Bogotá and its registered subsidiaries.
6. Governing Law: Any disputes arising from this Purchase Order shall be resolved under the commercial laws of the Republic of Colombia, with exclusive jurisdiction of the commercial courts of Bogotá D.C., Colombia.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions to telecommunications infrastructure in Colombia Bogotá.
