• 40% Milestone Payment: COP 1,242,360,000 due upon successful completion of the Actor platform deployment and passing of the acceptance testing protocol in Medellín, Colombia.
• 30% Final Payment: COP 931,770,000 due within thirty (30) days after the conclusion of the training program and delivery of all documentation.
• All payments shall be made in Colombian Pesos (COP) unless the parties agree in writing to an alternative currency. Exchange rate risk shall be borne by the seller for the duration of this contract.

• This Purchase Order is governed by the commercial laws of the Republic of Colombia, specifically the Colombian Commercial Code (Código de Comercio) and applicable regulations of the Superintendencia de Industria y Comercio.
• The Actor platform and all associated intellectual property remain the exclusive property of Actor Technologies International B.V. The buyer is granted a non-transferable, non-exclusive license to use the Actor software within the premises and digital infrastructure of Grupo Tecnológico Andino S.A.S. in Colombia Medellín.
• The seller warrants that the Actor platform shall be free from material defects, shall perform in accordance with the specifications outlined in the attached technical annex, and shall comply with all applicable data protection regulations, including Colombia's Ley 1581 de 2012 (Personal Data Protection Law).
• Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. Should resolution not be achieved within thirty (30) days, the matter shall be submitted to binding arbitration in Medellín, Colombia, in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Medellín.
• The seller shall maintain full insurance coverage for all personnel and equipment during the on-site implementation phase in Colombia Medellín, including liability insurance with a minimum coverage of COP 5,000,000,000.
• Neither party shall be liable for delays or failures in performance resulting from force majeure events, including but not limited to natural disasters, government sanctions, or pandemics, provided that the affected party notifies the other in writing within five (5) business days.
