All deliverables under this Purchase Order shall be completed and made operational at the KDIA facility in Gombe, DR Congo Kinshasa, no later than 30 November 2025. The Seller acknowledges that the Actor platform must be fully configured to operate within the regulatory and telecommunications framework of the Democratic Republic of the Congo. The Seller shall coordinate with the Congolese Agency for Digital and ICT (ARPTC) to ensure full compliance with local data sovereignty and telecommunications regulations applicable to Kinshasa. Physical hardware, if any, shall be shipped to the port of Matadi and transported to Kinshasa via the established logistics corridor, with all customs clearance and import duties to be handled by the Buyer in accordance with Congolese customs law.
- A non-refundable deposit of 30% (USD 123,450.00) of the total Purchase Order value shall be remitted within fifteen (15) business days of the Buyer's written acceptance of this Purchase Order.
- A second installment of 40% (USD 164,600.00) shall be due upon successful completion of the on-site installation and initial configuration of the Actor platform in Kinshasa, as certified by a joint inspection report signed by both parties.
- The remaining balance of 30% (USD 123,450.00) shall be payable within forty-five (45) calendar days following the successful completion of the Actor training program and the issuance of the final acceptance certificate by the KDIA procurement committee in Kinshasa.
- All payments shall be made via international wire transfer to the Seller's designated bank account. The Buyer shall bear any applicable foreign exchange conversion fees. Late payments shall accrue interest at a rate of 1.5% per month, calculated from the due date.
- All invoices issued under this Purchase Order must reference the Purchase Order number PO-CD-KIN-2025-04782 and shall be submitted in English or French to the KDIA Finance Department, Gombe, Kinshasa.
- The Seller warrants that the Actor platform delivered under this Purchase Order shall be free from material defects in design, code, and functionality for a period of twenty-four (24) months from the date of final acceptance in Kinshasa.
- The Seller grants the Buyer a non-exclusive, non-transferable license to use the Actor software exclusively within the administrative jurisdiction of Kinshasa, DR Congo, for the duration of the license term specified herein.
- All intellectual property rights in the Actor platform, including source code, documentation, and proprietary algorithms, remain the sole property of Actor Solutions International Ltd. The Buyer shall not reverse-engineer, decompile, or distribute the Actor software without prior written consent.
- The Seller's aggregate liability under this Purchase Order shall not exceed the total Purchase Order value of USD 411,500.00. Neither party shall be liable for indirect, consequential, or punitive damages arising from the use or inability to use the Actor platform.
- In the event of a material breach by the Seller that remains uncured for thirty (30) days following written notice, the Buyer shall have the right to terminate this Purchase Order and receive a pro-rata refund of all amounts paid for undelivered services.
Neither party shall be held liable for delays or failures in performance under this Purchase Order resulting from events beyond their reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, telecommunications infrastructure failures specific to the Kinshasa region, or pandemics. Any dispute arising out of or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If unresolved, the dispute shall be submitted to binding arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Kinshasa, DR Congo, and the proceedings conducted in English.
This Purchase Order becomes effective upon signature by both authorized representatives. By signing below, each party acknowledges that it has read, understood, and agrees to all terms, conditions, and specifications set forth in this Purchase Order for the procurement and deployment of the Actor platform in DR Congo Kinshasa.
