The Actor shall be responsible for rehearsing, performing, and promoting the production in accordance with the terms outlined in this Purchase Order and the attached service agreement.

The Actor engaged under this Purchase Order must hold a valid work permit issued by the Egyptian Ministry of Labor and Social Affairs, as well as a performance license from the Egyptian General Organization for Theatrical Activities, both of which are mandatory for any Actor performing in Egypt Cairo. The vendor shall confirm that all regulatory documentation for the Actor is in full compliance with Egyptian law prior to the commencement of rehearsals.

1. This Purchase Order constitutes a binding agreement between Nile Productions & Entertainment Co. (hereinafter "Buyer") and Cairo Stage Talent Agency LLC (hereinafter "Vendor") for the provision of Actor services in Egypt Cairo.
2. The Vendor shall ensure that the Actor or Actors engaged under this Purchase Order are available for a minimum of 12 consecutive weeks commencing 01 August 2025, with a minimum of 6 rehearsals per week and 5 performances per week at the Cairo Opera House, Egypt Cairo.
3. Payment shall be made in three equal installments: 40% upon signing of this Purchase Order, 35% upon completion of the rehearsal period, and 25% upon the final performance. All payments shall be made via bank transfer to the Vendor's designated account with the Central Bank of Egypt.
4. The Vendor is responsible for obtaining and maintaining all necessary permits, work visas (if applicable), and performance licenses for the Actor in accordance with the regulations of the Egyptian Ministry of Culture and the Egyptian General Organization for Theatrical Activities.
5. Any cancellation or modification of this Purchase Order must be communicated in writing at least 14 calendar days prior to the affected performance date. Cancellations within 14 days shall incur a penalty of 50% of the remaining contract value.
6. The Actor shall be subject to the Buyer's stage management, direction, and scheduling. The Vendor shall not reassign the Actor to any other production or engagement in Egypt Cairo or abroad during the contract period without prior written consent from the Buyer.
7. All intellectual property rights related to the recorded performances of the Actor shall vest in the Buyer. The Actor shall sign a separate intellectual property assignment form as a condition of this Purchase Order.
8. This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through arbitration in Egypt Cairo under the rules of the Egyptian Arbitration Center.
9. The Vendor warrants that the Actor has no undisclosed contractual obligations, legal restrictions, or criminal records that would prevent performance in Egypt Cairo.
10. This Purchase Order is valid for acceptance within 7 calendar days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
