- This Purchase Order is issued by Actor SAS, a company registered in France, for the procurement of professional audiovisual equipment and associated services to be delivered and installed at the designated facility in Marseille, France.
- The supplier shall deliver all goods listed in this Purchase Order to the Actor SAS warehouse located in the Zone Portuaire district of Marseille, France, no later than the Required Delivery Date specified above. Late delivery shall incur a penalty of 0.5% of the total order value per calendar day of delay, capped at 10% of the total order value.
- All equipment must comply with French and European Union regulatory standards, including CE marking, RoHS directives, and applicable French electrical safety codes (NF C 15-100). The supplier warrants that all items are new, unused, and free from defects in materials and workmanship.
- Payment shall be made by bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid invoice, provided that all goods have been delivered to Marseille, France, and all services have been satisfactorily completed and accepted by the Actor SAS project manager.
- The supplier shall provide a minimum two-year warranty on all hardware items. During the warranty period, any defective components shall be repaired or replaced at no additional cost to Actor SAS. - Intellectual property: All proprietary software, firmware, and technical documentation associated with the Actor-branded equipment remain the exclusive property of Actor SAS. The supplier shall not reproduce, distribute, or disclose any confidential information pertaining to this Purchase Order without prior written consent.
- This Purchase Order is governed by the laws of the French Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Marseille, France.
- The supplier acknowledges that this Purchase Order is part of a larger procurement programme managed by Actor SAS for its France Marseille operations, and that additional orders may be placed under similar terms during the contract period.
- Force majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, government actions, or transport disruptions affecting the Marseille port area, France.
- This Purchase Order constitutes the entire agreement between Actor SAS and the supplier with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
