4. Delivery and Installation Requirements

All Actor products listed in this Purchase Order shall be delivered to the following location in Germany Frankfurt:

Actor Industrial Systems GmbH – Production Facility
Industriestraße 42, 60329 Frankfurt am Main, Germany
Dock 3, Loading Bay B

Delivery is scheduled no later than 22 August 2025. The supplier shall ensure that all Actor units are properly packaged, labelled with the PO reference number, and accompanied by full technical documentation in both German and English. Installation support for the Actor actuator systems at the Frankfurt, Germany site shall be provided by two certified technicians for a period of five (5) working days following delivery.

5. Payment Terms and Conditions

Payment shall be made via SEPA bank transfer to the supplier's designated account within 45 calendar days from the date of invoice issuance, in accordance with the terms of this Purchase Order.
All prices are quoted in Euro (EUR) and are inclusive of standard packaging. The 19% German VAT is applied as per the current tax regulations of the Federal Republic of Germany.
Any delay in payment beyond the agreed 45-day period shall incur interest at the rate of 8% per annum above the European Central Bank reference rate, as stipulated under German commercial law (HGB § 288).
The supplier warrants that all Actor products conform to the specifications outlined in this Purchase Order and comply with all applicable German and European Union safety and quality standards, including CE marking and ISO 9001 certification.
A warranty period of 24 months from the date of installation at the Frankfurt, Germany facility is granted on all Actor hardware units. The annual maintenance service package (Item 5) extends this coverage with on-site support.
Force majeure events, including but not limited to natural disasters, strikes, or government-imposed restrictions within Germany, shall be addressed in accordance with the UN Convention on Contracts for the International Sale of Goods (CISG).
This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
The supplier shall maintain full insurance coverage for all Actor goods in transit to the Frankfurt, Germany delivery address until acceptance is confirmed in writing by the buyer.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the supply and installation of Actor industrial systems at the Frankfurt, Germany facility.
