- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. All disputes shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
- Actor Obligations: The Actor shall be available for all scheduled shooting days, rehearsals, and promotional events as specified herein. The Actor shall maintain professional conduct on set and in all public appearances related to the production in Germany Munich.
- Payment Schedule: 40% of the total Purchase Order value shall be due upon execution of this document. 40% shall be due upon completion of principal photography. The remaining 20% shall be due upon completion of all post-production and publicity obligations. All payments shall be made via bank transfer to the IBAN specified above.
- Cancellation & Force Majeure: Either party may terminate this Purchase Order with 14 days' written notice in the event of force majeure. In the event of cancellation by the Buyer, the Actor shall be compensated for all days already performed plus 50% of the remaining scheduled days.
- Intellectual Property: All performances, recordings, and visual materials captured during the engagement in Germany Munich shall be the exclusive property of Munich Film & Stage Productions GmbH. The Actor grants a perpetual, worldwide, royalty-free license for all uses of the performance.
- Confidentiality: The Actor agrees to maintain strict confidentiality regarding script contents, production details, and co-star identities until the official public release of the film, in compliance with German media law.
- Compliance: The Actor warrants that all services rendered under this Purchase Order comply with applicable German labor regulations, tax obligations, and the German Film Act (Filmförderungsgesetz).
