All Actor equipment shall be shipped under Incoterms 2020 CIF (Cost, Insurance, and Freight) to the Port of Tema, Ghana Accra. The supplier, Actor Global Technologies GmbH, is responsible for all packaging, export documentation, marine insurance, and freight charges up to the designated port of discharge in Ghana Accra. The buyer shall arrange for customs clearance, inland transport from the Port of Tema to the final installation site in East Legon, Ghana Accra, and all applicable Ghanaian import duties and taxes. The Actor equipment must be delivered no later than 12 September 2025. Partial shipments are not permitted under this Purchase Order. All Actor units must be factory-new, unused, and accompanied by full manufacturer documentation, including certificates of origin, test reports, and warranty certificates.
6. Payment TermsPayment for this Purchase Order shall be made in United States Dollars (USD) via irrevocable letter of credit issued by a commercial bank in Ghana Accra, in favor of Actor Global Technologies GmbH. The payment schedule is as follows: 30% advance payment upon confirmation of this Purchase Order; 50% upon presentation of the Bill of Lading and shipping documents confirming dispatch of the Actor goods; and 20% upon successful commissioning and acceptance of the Actor systems at the Ghana Accra facility. Late payments shall attract interest at a rate of 1.5% per month, calculated from the due date.
7. Quality Assurance & WarrantyActor Global Technologies GmbH warrants that all Actor products supplied under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance at the Ghana Accra installation site. The Actor warranty covers repair or replacement of defective components at no additional cost to the buyer. The supplier shall provide a dedicated Actor technical support representative accessible via telephone and email for the duration of the warranty period. Any Actor component found to be defective within the warranty period shall be replaced within thirty (30) calendar days of written notification by the buyer.
8. General Terms & Conditions- This Purchase Order constitutes a binding agreement between Accra Industrial Infrastructure Ltd. and Actor Global Technologies GmbH upon signature by both parties.
- All Actor products must meet or exceed the specifications outlined in the attached technical annex (Annex A) and comply with Ghana Standards Authority (GSA) requirements for industrial equipment operating in Ghana Accra.
- The supplier shall provide a minimum of two (2) spare Actor actuator units (one linear, one rotary) at no additional charge as part of this Purchase Order.
- Intellectual property rights to all Actor proprietary software, firmware, and control algorithms remain with Actor Global Technologies GmbH. The buyer is granted a non-exclusive, non-transferable license to use such software solely for the operation of the Actor systems installed in Ghana Accra.
- Disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Ghana Arbitration Centre, with the seat of arbitration in Ghana Accra. The governing law shall be the laws of the Republic of Ghana.
- Force majeure events, including but not limited to port strikes, government import restrictions in Ghana, or natural disasters affecting the Ghana Accra region, shall extend delivery timelines proportionally without penalty to either party.
- This Purchase Order may be amended only by written addendum signed by authorized representatives of both parties.
