The Actor Enterprise Workflow Automation Platform shall be deployed at the Meridian Technologies Pvt. Ltd. headquarters located in New Delhi, India. The vendor, Actor Solutions International Ltd., is responsible for the complete installation, configuration, and commissioning of the Actor software suite, including all associated hardware appliances, at the New Delhi premises. The implementation shall be completed within six (6) weeks from the date of this Purchase Order. All Actor software components must be fully operational and integrated with the existing Microsoft Azure hybrid infrastructure hosted at the New Delhi data centre before the final acceptance sign-off. Training sessions for end-users shall be conducted at the Actor-certified training facility in New Delhi or at the Meridian office, as mutually agreed upon in writing.

1. Payment: 30% advance payment upon signing of this Purchase Order; 50% upon successful deployment and acceptance of the Actor platform at the New Delhi site; 20% upon completion of all training sessions and handover of documentation. All payments shall be made via NEFT/RTGS to the vendor's designated bank account in Indian Rupees (INR).
2. Delivery: All hardware components (Actor server nodes) shall be delivered DDP to the New Delhi, India address specified in Section 2. The vendor shall bear all shipping, insurance, customs clearance, and import duty costs associated with bringing the Actor hardware into India.
3. Warranty: The Actor software carries a standard 12-month defect liability period from the date of final acceptance. Hardware appliances carry a 3-year on-site warranty as per the manufacturer's terms. All warranty service calls in New Delhi shall be responded to within 4 business hours.
4. Intellectual Property: All Actor software, documentation, and proprietary materials remain the intellectual property of Actor Solutions International Ltd. Meridian Technologies Pvt. Ltd. is granted a non-transferable, non-exclusive license to use the Actor platform for internal business operations within India.
5. Confidentiality: Both parties agree to maintain strict confidentiality of all business information, pricing, and technical data exchanged in connection with this Purchase Order. This obligation shall survive for a period of five (5) years.
6. Compliance: The Actor platform and all associated services shall comply with the Information Technology Act, 2000 (as amended), the Digital Personal Data Protection Act, 2023, and all applicable regulations of the Government of India. Data residency requirements for Indian customer data shall be strictly observed, with primary storage located within New Delhi, India.
7. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics, provided that written notice is given within 72 hours of the event.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
9. Termination: Either party may terminate this Purchase Order with 60 days' written notice in the event of material breach by the other party that remains uncured after a 30-day cure period.
