All software licenses, documentation, and hardware components associated with this Purchase Order shall be delivered to the Buyer's designated facility at Valiasr Street, District 1, Tehran, Iran, no later than 45 calendar days from the date of this Purchase Order. The Seller shall coordinate with the Buyer's IT department in Tehran to ensure that the Actor platform is fully installed, tested, and operational within the specified timeframe. All hardware shipments to Iran Tehran shall comply with the customs regulations of the Islamic Republic of Iran, and the Seller shall provide all necessary export documentation, certificates of origin, and commercial invoices required for clearance at Tehran Imam Khomeini International Airport or the designated land border crossing.

• 30% Advance Payment: USD 135,300.00 due within 10 business days of the Buyer's written acceptance of this Purchase Order, payable via irrevocable letter of credit through a mutually agreed international bank.
• 40% Upon Delivery: USD 180,400.00 due within 15 business days of confirmed delivery and successful installation of the Actor platform in Tehran, Iran.
• 20% Upon Acceptance: USD 90,200.00 due within 15 business days of the Buyer's formal acceptance certificate following a 30-day trial period of the Actor system in operational use in Tehran.
• 10% Retention: USD 45,100.00 due 12 months after the initial acceptance date, subject to satisfactory performance of the Actor platform and fulfillment of all warranty obligations.

• This Purchase Order and all associated transactions shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG), supplemented by the commercial laws of the Islamic Republic of Iran as applicable to international technology procurement in Tehran.
• The Seller acknowledges that the Actor platform will be deployed and operated exclusively within the jurisdiction of Tehran, Iran. All data generated by the Actor system shall be stored on servers physically located within Tehran, in compliance with the Iranian Information and Communication Technology (ICT) regulations and data sovereignty requirements.
• The Seller shall provide all Actor software documentation, user manuals, and training materials in both English and Persian (Farsi) to ensure full accessibility for the Buyer's staff operating in Tehran.
• Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce (ICC), with the seat of arbitration to be determined by mutual agreement, taking into consideration the legal framework of Iran Tehran for the execution of the contract.
• The Seller warrants that the Actor platform shall be free from any intellectual property encumbrances and shall not contain any backdoors, hidden code, or features that could compromise the security of the Buyer's infrastructure in Tehran, Iran.
• Force majeure events, including but not limited to natural disasters, government sanctions changes, or regulatory restrictions affecting international trade with Iran Tehran, shall be addressed through good-faith negotiation between the parties within 30 days of the event's occurrence.

The Seller provides a comprehensive 24-month warranty on all Actor software components and 12-month warranty on all hardware items delivered under this Purchase Order. During the warranty period, the Seller shall provide remote and on-site technical support for the Actor platform as deployed in Tehran, Iran, with a maximum response time of 4 hours for critical issues and 24 hours for non-critical issues. All warranty services shall be provided in coordination with the Buyer's local IT team in Tehran.

This Purchase Order becomes effective upon the written signature and seal of both parties. The Buyer authorizes the procurement of the Actor software platform and all associated services as described herein for use in Tehran, Iran, in accordance with the terms and conditions set forth in this document.
