• Payment Schedule: A 40% advance payment ($14,340.00) shall be remitted within five (5) business days of the acceptance of this Purchase Order. The remaining 60% ($21,510.00) shall be paid in two equal installments: 30% upon completion of principal photography and 30% upon final delivery of all post-production services.
• Payment Method: All payments shall be made via bank transfer to the account of Al-Mada Talent Management, Bank of Baghdad, Account No. 0045-8821-3376, SWIFT: BOBGIQBB. The Actor shall receive her compensation through the managing agency in accordance with Iraqi labor and entertainment regulations.
• Currency: All amounts are stated in United States Dollars (USD). Any applicable Iraqi government taxes, withholding levies, or entertainment industry fees mandated by the Ministry of Culture in Iraq Baghdad shall be the responsibility of the Purchasing Party unless otherwise stipulated by law.
• Late Payment: A penalty of 1.5% per month shall be applied to any overdue balance beyond the stipulated payment due dates.

• The Actor agrees to be exclusively contracted for the duration of this production and shall not accept competing engagements in Iraq Baghdad or internationally without prior written consent from Baghdad Media Productions Ltd.
• The Actor shall comply with all safety protocols, studio regulations, and local laws of the Republic of Iraq, including those enforced in the city of Baghdad. Any violation may result in immediate termination of this Purchase Order without further compensation.
• Baghdad Media Productions Ltd. shall provide the Actor with a safe working environment, appropriate insurance coverage (professional liability and personal accident), and all necessary production materials at the filming locations in Iraq Baghdad.
• All intellectual property rights, including but not limited to performance recordings, footage, and promotional materials featuring the Actor, shall be the sole property of Baghdad Media Productions Ltd. upon full payment of the amounts specified in this Purchase Order.
• Either party may terminate this agreement with fourteen (14) days written notice. In the event of early termination by the Purchasing Party, the Actor shall be compensated for all days worked plus a pro-rata portion of the remaining contract value.
• This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq. Any disputes arising from this document shall be resolved through arbitration in Iraq Baghdad under the rules of the Baghdad Chamber of Commerce.
• The Actor and her representing agency confirm that all services rendered in Iraq Baghdad shall comply with the Iraqi Media Authority regulations and the Ministry of Culture's guidelines for professional performers.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations outlined in this Purchase Order for the procurement of Actor services in Iraq Baghdad. This document constitutes a binding agreement effective from the date of the last signature.
