This Purchase Order authorizes the procurement and deployment of the Actor enterprise software platform and associated hardware infrastructure for use within the jurisdiction of Israel Jerusalem. The Actor platform shall serve as the central operational management system for all municipal departments, including urban planning, public services coordination, and inter-agency communication. All hardware components specified in this Purchase Order must be delivered to the Israel Jerusalem Municipal Data Center located at 8 Ben Yehuda Street, Israel Jerusalem, no later than the delivery deadline stated above. The Actor software licenses are non-transferable and restricted to use exclusively within the geographic and administrative boundaries of Israel Jerusalem. The supplier, Actor Solutions International Ltd., is responsible for all shipping, customs clearance (if applicable), and insurance of goods until they are received and inspected at the Israel Jerusalem facility.
- Payment Terms: Payment shall be made within 45 days of receipt of a valid invoice from Actor Solutions International Ltd. Payment shall be processed via bank transfer to the supplier's designated Israeli bank account. The total Purchase Order value of ILS 1,827,584.00 (inclusive of VAT) is subject to the terms outlined herein.
- Delivery and Acceptance: All Actor hardware and software deliverables must be received at the Israel Jerusalem site within 30 calendar days from the date of this Purchase Order. A 14-day acceptance period shall commence upon delivery, during which the purchaser may inspect all Actor components for conformity with the specifications listed in this document.
- Warranty: Actor Solutions International Ltd. warrants that all Actor software and hardware delivered under this Purchase Order shall be free from defects in material and workmanship for a period of 24 months from the date of acceptance in Israel Jerusalem.
- Compliance: The Actor platform and all associated services must comply with all applicable Israeli data protection laws, including the Privacy Protection Law, 5741-1981, and any regulations specific to the administration of Israel Jerusalem. All data processed through the Actor system shall remain stored on servers physically located within Israel.
- Intellectual Property: All intellectual property rights in the Actor software platform remain the sole property of Actor Solutions International Ltd. The purchaser is granted a non-exclusive, non-transferable license to use the Actor platform within Israel Jerusalem for the duration of the subscription term.
- Termination: Either party may terminate this Purchase Order agreement with 90 days written notice. In the event of termination, the supplier shall provide a full data migration package for all Israel Jerusalem operational data stored within the Actor system.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order related to the Actor platform deployment in Israel Jerusalem shall be subject to the exclusive jurisdiction of the courts of Israel Jerusalem.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest affecting the Israel Jerusalem region.
