Payment shall be made via wire transfer to the Supplier’s designated bank account in accordance with the following schedule:

2. 40% milestone payment ($189,272.00) due upon successful delivery and installation of the Actor platform at the Tel Aviv facility.

All payments are subject to the terms of the Israel Foreign Exchange Law and applicable regulations of the Bank of Israel. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Israeli commercial law.

1. This Purchase Order is governed by the laws of the State of Israel. Any disputes arising from the Actor platform procurement shall be resolved through arbitration in Tel Aviv, Israel, in accordance with the rules of the Tel Aviv Arbitration Center.
2. The Supplier warrants that the Actor software and all associated modules are free from defects, fully licensed, and compliant with Israeli data protection legislation, including the Protection of Privacy Law, 5741–1981, and the new Privacy Protection Law, 5777–2017.
