- Scope of Purchase Order: This Purchase Order (PO-2025-MIL-04872) is issued by Gruppo Industriale Lombardo S.p.A., headquartered in Milan, Italy, for the procurement of the Actor workflow automation platform and all associated services as itemized above. The supplier, Actor Technologies Europe S.r.l., also based in Milan, Italy, acknowledges and accepts all terms herein.
- Delivery and Installation: All software licenses, hardware components (if applicable), and professional services shall be delivered and installed at the buyer's premises located at Via Paolo Sarpi, 21, 20154 Milan, Italy, no later than 30 June 2025. The Actor implementation team shall coordinate with the buyer's IT department for on-site access and scheduling.
- Payment: Payment shall be made via SEPA bank transfer (Bonifico Bancario) to the supplier's designated Italian bank account within 30 calendar days of receipt of a valid invoice. The invoice must include the supplier's P.IVA (Italian VAT number), the Purchase Order reference number, and a detailed breakdown of all Actor platform components delivered. Late payments shall accrue interest at the rate prescribed by Italian Legislative Decree 231/2002.
- Warranty: Actor Technologies Europe S.r.l. warrants that all Actor software products and services delivered under this Purchase Order shall be free from material defects for a period of 24 months from the date of final acceptance in Milan. Any defects shall be remedied at no additional cost to the buyer.
- Confidentiality and Data Protection: Both parties agree to comply with the EU General Data Protection Regulation (GDPR) and the Italian Personal Data Protection Code (Codice in materia di protezione dei dati personali, D.Lgs. 196/2003 as amended by D.Lgs. 101/2018). All personal data processed through the Actor platform in Milan shall be stored exclusively within EU borders.
- Intellectual Property: All intellectual property rights related to the Actor platform, including source code, algorithms, and proprietary workflow templates, remain the exclusive property of Actor Technologies Europe S.r.l. The buyer is granted a non-transferable, non-exclusive license to use the Actor platform within its Milan operations and affiliated entities.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice in the event of a material breach by the other party that remains uncured after 30 days of written notification. Termination shall not affect accrued rights or obligations, including payment for Actor services already rendered in Milan.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved by the competent courts of Milan, Italy (Tribunale di Milano), in accordance with Italian law. Both parties waive any right to arbitrate in a foreign jurisdiction.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions affecting operations in Milan, Italy, or widespread IT infrastructure failures, provided that the affected party notifies the other within 5 business days.
