TERMS AND CONDITIONS
- Scope of Work: The Seller shall provide all Actor services as described in the line items above. Each Actor must be available for the full duration of the engagement at the specified venues in Rome, Italy. The Seller guarantees that all Actors hold valid work permits and residency documentation required by Italian law for performing in Italy Rome.
- Performance Schedule: Rehearsals shall commence on 1 August 2025 at the Studio Attori facility in Rome, Italy. The first public performance is scheduled for 15 August 2025 at the Teatro dell'Opera di Roma. The full run shall conclude on 30 September 2025. All Actors must adhere to the production schedule without deviation unless mutually agreed in writing.
- Payment Schedule: A 40% advance payment (EUR 105,408.00) shall be due within 15 business days of acceptance of this Purchase Order. The remaining 60% (EUR 158,112.00) shall be payable within 30 days of the final performance date. All payments shall be made via bank transfer to the Seller's designated Italian bank account in Rome, Italy.
- Substitution of Actor: In the event that any engaged Actor becomes unavailable due to illness, injury, or force majeure, the Seller shall provide a substitute Actor of equivalent calibre and experience within 5 business days. The Buyer reserves the right to approve or reject any proposed substitute Actor. No additional charges shall apply for a single substitution per role.
- Intellectual Property and Image Rights: All Actors agree to grant the Buyer a non-exclusive licence to use their name, likeness, and performance recordings for promotional purposes related to the production "Luce Eterna" in Rome, Italy, for a period of 24 months following the final performance.
- Compliance with Italian Law: All services rendered under this Purchase Order shall comply with the Italian Entertainment Industry Regulations (D.Lgs. 36/2003), the Italian Labour Code (Codice del Lavoro), and all applicable municipal bylaws of the City of Rome, Italy. The Seller is responsible for all tax withholdings, social security contributions, and union obligations pertaining to the Actors.
- Cancellation and Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of cancellation by the Buyer after rehearsals have commenced, the Seller shall be compensated for all costs incurred up to the date of termination, including Actor fees already paid. Cancellation due to force majeure (including but not limited to natural disasters, government-mandated closures in Rome, Italy, or public health emergencies) shall be handled on a case-by-case basis.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the identities of the Actors, and all production details. This obligation shall survive the termination of this agreement for a period of 3 years.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through mediation in Rome, Italy, in accordance with the rules of the Camera di Commercio di Roma. If mediation fails, the matter shall be submitted to the exclusive jurisdiction of the Tribunale di Roma, Italy.
- Acceptance: This Purchase Order becomes binding upon signature by both parties. The Seller's acceptance constitutes a full and unconditional agreement to all terms, conditions, and line items specified herein for the provision of Actor services in Italy Rome.
