All software deliverables for the Actor platform shall be transmitted electronically to the SINL Abidjan data center no later than 01 July 2025. On-premise deployment engineers from Actor Technologies International S.A. shall arrive in Abidjan, Ivory Coast, no later than 08 July 2025 and shall complete full installation, configuration, and integration testing by 22 July 2025. The training program for SINL personnel shall be conducted at the Cocody Training Center in Abidjan between 25 July 2025 and 01 August 2025. All deployment activities shall comply with the regulatory requirements of the Ivorian Ministry of Digital Economy and Telecommunications (MINATEL) and the local data protection authority.
- Payment shall be made in CFA Francs (XOF) via bank transfer to the account designated by Actor Technologies International S.A. as stated in the commercial invoice.
- A 30% advance payment (XOF 39,754,200) is due within ten (10) business days of the acceptance of this Purchase Order by both parties.
- The remaining 70% balance (XOF 92,759,800) shall be due within forty-five (45) calendar days following the successful completion of the deployment and acceptance sign-off in Abidjan.
- All payments are subject to the applicable withholding tax regulations of the Republic of Côte d'Ivoire. The buyer shall provide the buyer with the relevant tax clearance certificates upon request.
- Late payments shall incur a penalty of 1.5% per month on the outstanding balance, in accordance with Ivorian commercial law (Code de Commerce de la CEDEAO).
- This Purchase Order is governed by the laws of the Republic of Côte d'Ivoire. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Abidjan, Ivory Coast.
The Actor platform and all associated services are warranted to be free from material defects in software code, configuration, and integration for a period of twelve (12) months from the date of final acceptance in Abidjan. Actor Technologies International S.A. guarantees that the Actor platform shall operate in full compliance with the specifications outlined in the attached technical annex (Annex A) and shall meet all performance benchmarks agreed upon during the pre-deployment assessment conducted in Abidjan in May 2025. SINL S.A. shall have a period of fifteen (15) business days following the completion of deployment to conduct acceptance testing and issue a formal Acceptance Certificate. Failure to issue such a certificate within the stipulated period shall constitute deemed acceptance of the Actor platform and all related services.
All data processed, stored, or transmitted through the Actor platform within the SINL Abidjan infrastructure shall remain the exclusive property of SINL S.A. and shall be subject to the data protection regulations of the Ivorian Commission Nationale de l'Informatique et des Libertés (CNIL-CI). Actor Technologies International S.A. shall not replicate, transfer, or access any SINL data outside the territory of Ivory Coast without prior written consent from the buyer.
