The estimated delivery window is within forty-five (45) calendar days from the date of this Purchase Order acceptance, no later than July 27, 2025. Installation and commissioning services in Japan Tokyo shall commence within five (5) business days of hardware delivery and shall be completed within ten (10) business days thereafter. The supplier shall provide a minimum of two (2) certified Actor system engineers for the on-site installation phase in Tokyo.

Payment shall be made in United States Dollars (USD) via international wire transfer to the supplier's designated bank account. The payment schedule for this Purchase Order is as follows:

• 30% Advance Payment (USD 104,692.50): Due within ten (10) business days of mutual execution of this Purchase Order.
• 50% Milestone Payment (USD 174,487.50): Due upon confirmed delivery of all Actor hardware units to the Japan Tokyo site and successful customs clearance.
• 20% Final Payment (USD 69,795.00): Due within fifteen (15) business days following successful completion of installation, commissioning, and acceptance testing of the Actor system at the Tokyo venue.

Late payments shall incur a penalty of 1.5% per month or the maximum rate permitted under Japanese commercial law, whichever is lower.

The supplier warrants that all Actor hardware components delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance in Japan Tokyo. The software license includes three (3) years of priority technical support with a guaranteed response time of four (4) business hours for critical system failures. The supplier shall maintain a dedicated support liaison for the Tokyo installation and shall provide quarterly remote system health assessments throughout the warranty period.

This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved through arbitration in Tokyo, Japan, in accordance with the rules of the Japan Commercial Arbitration Association (JCAA). The language of this Purchase Order and all related communications shall be English. Neither party shall be liable for delays caused by force majeure events, including but not limited to natural disasters, which are of particular relevance given the seismic and typhoon activity in the Japan Tokyo region.
