All software licenses for the Actor platform shall be delivered electronically via secure download portal within five (5) business days of confirmed payment. The Actor hardware units (Item 5) shall be shipped DDP to the Buyer's facility at 45 Abai Avenue, Almaty, 050040, Kazakhstan, with an estimated delivery window of twenty (20) business days from the date of this Purchase Order. Installation, configuration, and integration of the Actor software suite into the Buyer's existing IT infrastructure in Almaty shall be completed within ten (10) business days of hardware delivery. The Actor training program (Item 4) shall be scheduled within thirty (30) days of full system installation and shall be conducted at the Buyer's Almaty premises.
- Payment shall be made in US Dollars (USD) via international wire transfer to the Seller's designated bank account within thirty (30) calendar days of the date of this Purchase Order.
- A 10% advance payment (USD 38,987.20) is due upon signing of this Purchase Order to initiate the Actor license provisioning process.
- The remaining 90% balance (USD 350,884.80) shall be due within thirty (30) days of confirmed delivery and successful installation of all Actor components in Almaty, Kazakhstan.
- Late payments shall incur a penalty of 1.5% per month or the maximum rate permitted under Kazakhstan law, whichever is lower.
- All payments are subject to the applicable tax regulations of the Republic of Kazakhstan, including Value Added Tax (VAT) at the current rate of 12%.
The Seller warrants that the Actor software suite and all associated services described in this Purchase Order shall be free from material defects in design, code, and performance for a period of twelve (12) months from the date of installation in Almaty, Kazakhstan. The Seller grants the Buyer a non-exclusive, non-transferable license to use the Actor platform solely within the Buyer's organizational structure. All intellectual property rights, including but not limited to source code, algorithms, and proprietary methodologies embedded within the Actor software, remain the exclusive property of Actor Technologies International GmbH. The Buyer shall not reverse-engineer, decompile, or distribute the Actor software or any derivative works without prior written consent from the Seller.
This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kazakhstan. Any disputes arising from or in connection with this Purchase Order, including disputes related to the Actor software delivery, performance, or support in Almaty, shall first be subject to good-faith negotiation between the parties. If resolution is not achieved within thirty (30) days, the dispute shall be submitted to the International Arbitration Centre at the Astana International Financial Centre (AIFC) for binding arbitration in accordance with its rules. The seat of arbitration shall be Astana, Kazakhstan, and the language of arbitration shall be English.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Actor software solution. This document constitutes a binding agreement between Almaty Digital Media Solutions LLP and Actor Technologies International GmbH effective from the date of the last signature.
