- All Actor hardware units shall be delivered to the buyer's facility at 47 Boulevard Mohammed V, Casablanca, Morocco, no later than 15 August 2025. Delivery shall be made DDP (Delivered Duty Paid) to the Casablanca port or Casablanca Mohammed V International Airport, with final trucking to the venue arranged by the seller.
- Installation and commissioning of the Actor system shall be completed within fourteen (14) calendar days of hardware delivery. The seller's certified Actor technicians shall be present in Casablanca for the full duration of the installation phase.
- The Actor training program shall be conducted at the Casablanca Cultural Centre, 12 Avenue des Nations, Casablanca, Morocco, over five consecutive working days immediately following successful commissioning.
- All shipping, customs clearance, and import duties for the Actor products entering Morocco shall be the sole responsibility of the seller, in accordance with the DDP Incoterms 2020.
- 30% advance payment (MAD 1,570,968.00) due within ten (10) business days of acceptance of this Purchase Order.
- 50% milestone payment (MAD 2,618,280.00) due upon confirmed delivery and successful commissioning of all Actor hardware in Casablanca.
- 20% final payment (MAD 1,047,312.00) due within thirty (30) days of completion of the Actor training program and issuance of the final acceptance certificate.
- All payments shall be made via irrevocable letter of credit issued by Bank Al-Maghrib-affiliated commercial bank in Casablanca, denominated in Moroccan Dirhams (MAD), payable to Actor International Solutions Ltd.
- The seller warrants that all Actor products and services delivered under this Purchase Order shall conform to the specifications outlined in the attached technical annex and shall be free from defects in materials and workmanship for a period of three (3) years from the date of final acceptance in Casablanca.
- The Actor software license is granted exclusively for use within the territory of the Kingdom of Morocco, with the primary operational base in Casablanca. Any expansion to other Moroccan cities (e.g., Rabat, Marrakech) shall require a separate written amendment to this Purchase Order.
- All Actor equipment shall comply with Moroccan regulatory standards, including those set by the Moroccan Agency for Standardization (IMANOR) and the Ministry of Digital Transition and Administrative Reform.
- The seller shall provide all necessary documentation, user manuals, and technical guides in both English and French to accommodate the bilingual operational environment of Casablanca.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the acquisition and deployment of the Actor professional performance system in Morocco Casablanca. This document constitutes a binding agreement between the buyer and the seller effective from the date of the last signature.
