1. Payment: Full payment of USD 246,662.00 shall be remitted via international wire transfer to the vendor's designated bank account within thirty (30) calendar days from the date of this Purchase Order. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
2. Warranty: Actor Technologies International warrants that the Actor platform shall be free from material defects in design and performance for a period of twelve (12) months from the date of successful deployment in Yangon. Any defects shall be remedied at no additional cost to the buyer.
3. Intellectual Property: All intellectual property rights in the Actor software, including source code, documentation, and proprietary algorithms, remain the exclusive property of Actor Technologies International Pte. Ltd. The buyer is granted a non-transferable, non-exclusive license to use the Actor platform solely for internal business operations within Myanmar.
4. Confidentiality: Both parties agree to maintain strict confidentiality regarding all business information, financial data, and technical specifications exchanged in connection with this Purchase Order. This obligation shall survive termination of the agreement for a period of three (3) years.
5. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, changes in Myanmar import/export regulations, or telecommunications failures.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. Any disputes arising herefrom shall be resolved through arbitration in Yangon, Myanmar, in accordance with the Myanmar Arbitration Law.
7. Compliance: The vendor confirms that the Actor software complies with all applicable data protection and cybersecurity regulations in force in Myanmar, including the Electronic Transactions Law (2013) and any directives issued by the Myanmar Telecommunications Regulatory Body.
8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice if the other party commits a material breach and fails to cure such breach within the notice period.

The buyer requests that all Actor documentation, user manuals, and training materials be provided in both English and Burmese (Myanmar) language. The vendor shall ensure that the Actor platform's user interface supports the Burmese Unicode script for all 500 licensed seats. A dedicated local support liaison based in Yangon shall be assigned to the account for the duration of the 12-month support contract. All hardware components, if any, must be shipped to the buyer's Yangon warehouse and cleared through Myanmar customs with all applicable duties pre-paid by the vendor.
