The Seller is responsible for all packaging, export documentation, international air or sea freight, marine/air cargo insurance, and coordination with Nepali customs authorities at Tribhuvan International Airport (TIA) or the Kathmandu land border crossing, as applicable.

Delivery is expected no later than 45 calendar days from the date of this Purchase Order. Given the logistical considerations of shipping heavy production equipment into the Nepal Kathmandu valley, the Seller shall provide a detailed shipping manifest at least 10 business days prior to dispatch. All Actor crates must be clearly labeled with the Purchase Order number, the destination address in Kathmandu, and the applicable Nepali import reference codes.

• Advance Payment: 30% of the total Purchase Order value (USD 94,485.00) shall be remitted via international wire transfer within 7 business days of signing this document.
• Balance Payment: The remaining 70% (USD 220,465.00) shall be due within 15 business days of confirmed delivery and successful inspection of all Actor equipment at the Kathmandu warehouse.
• Bank Details: Payments shall be made to Actor Global Entertainment Systems Inc., First National Bank, Account No. 4471-903-221, SWIFT: FNBLUS33, Los Angeles, California, USA.
• Currency: All transactions under this Purchase Order are denominated in United States Dollars (USD). The Buyer shall bear any foreign exchange conversion costs applicable in Nepal.
• Late Payment: A penalty of 1.5% per month shall apply to any overdue balance, in accordance with standard commercial practice in Nepal.

All Actor products supplied under this Purchase Order carry a minimum 24-month manufacturer's warranty from the date of installation in Nepal Kathmandu. • Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
• Governing Law: This Purchase Order shall be governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Disputes shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the rules of the Nepal Arbitration Council.
