All software components of the Actor platform shall be delivered electronically via secure transfer no later than 20 July 2025. Physical hardware (Actor server units) must be shipped to the Wellington, New Zealand address listed in Section 2 and received by 25 July 2025. On-site installation, network configuration, and full system testing of the Actor platform at the New Zealand Wellington facility must be completed by 01 August 2025. The supplier shall ensure that the Actor platform complies with all applicable New Zealand data sovereignty regulations, including the Privacy Act 2020 and the Information Privacy Act requirements specific to the Wellington region.
- This Purchase Order constitutes a binding agreement between Wellington Digital Operations Ltd. and Actor Technologies Pty Ltd. upon countersignature by both parties.
- All prices stated in this Purchase Order are in New Zealand Dollars (NZD) and are inclusive of all applicable duties and import levies for goods entering New Zealand.
- The Actor platform license is non-transferable and restricted to use within the New Zealand Wellington operational premises and approved remote-access endpoints registered under this Purchase Order.
- Payment shall be remitted within thirty (30) calendar days of receipt of a valid tax invoice from the supplier. Late payments shall accrue interest at the rate of 1.5% per month as per New Zealand commercial practice.
- The supplier warrants that the Actor platform shall be free from material defects in design, workmanship, and performance for a period of twelve (12) months from the date of full deployment in New Zealand Wellington.
- Any changes to the scope of this Purchase Order must be documented in a written amendment signed by both parties. Verbal modifications to the Actor platform scope are not valid.
- This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of New Zealand, with primary venue in Wellington.
- The supplier shall maintain full insurance coverage for all personnel and equipment during the installation and training phases in New Zealand Wellington.
- Confidentiality: All data processed through the Actor platform while deployed in New Zealand Wellington shall remain the sole property of the Buyer. The supplier shall not replicate, store, or transmit such data outside New Zealand without prior written consent.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters (e.g., seismic events relevant to the Wellington region), pandemics, or government-mandated shutdowns in New Zealand.
