All Actor equipment and associated materials shall be delivered Incoterms 2020 – CIF (Cost, Insurance, and Freight) to the designated receiving facility at the FCT-IDA Central Warehouse, Plot 743, Area 11, Garki, Abuja, Nigeria. The Seller is responsible for all packaging, export documentation, ocean or air freight, marine insurance, and coordination with Nigerian customs authorities at the Abuja airport or the nearest designated port of entry. Delivery is required no later than 30 September 2025. The Seller must provide a minimum of 14 calendar days' written notice prior to shipment, including the Bill of Lading, Commercial Invoice, Packing List, Certificate of Origin, and the Actor product warranty documentation. All goods must be clearly labeled with the Actor brand identification, model numbers, and the destination address in Abuja, Nigeria.
Payment shall be made in United States Dollars (USD) via irrevocable Letter of Credit (LC) issued by a Tier-1 Nigerian commercial bank in favor of Actor Industrial Automation Systems Ltd. The payment schedule is as follows:
- 30% (USD 271,422.00) – upon issuance of the confirmed Letter of Credit and receipt of the Actor shipping documents.
- 60% (USD 542,844.00) – upon successful delivery, inspection, and acceptance of all Actor units at the Abuja, Nigeria receiving site.
- 10% (USD 90,474.00) – upon completion of the 90-day performance warranty period with no unresolved defects in the Actor equipment.
All bank charges on the buyer's side shall be borne by the Buyer in Abuja, Nigeria. All bank charges on the seller's side shall be borne by the Seller.
Every Actor unit delivered under this Purchase Order must be new, unused, and of the current production year. The Seller warrants that all Actor products shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance in Abuja, Nigeria. The Seller shall provide a minimum of five (5) years of spare parts availability for all Actor models listed herein. The Actor equipment must comply with all applicable Nigerian Standards Organisation (SON) regulations, the Federal Capital Territory Authority (FCTA) building and electrical codes, and international standards including IEC 61508 (functional safety) and IEC 62443 (industrial cybersecurity). The Seller shall furnish all necessary SONCAP (Standards Organisation of Nigeria Conformity Assessment Programme) certification prior to shipment to ensure smooth customs clearance in Abuja, Nigeria.
Actor Industrial Automation Systems Ltd. shall deploy a team of no fewer than four (4) certified Actor field engineers to the Abuja, Nigeria site for a period of fourteen (14) consecutive working days to perform installation, integration, commissioning, and performance testing of all Actor systems. The Seller shall additionally provide a three-day on-site training programme for up to twelve (12) designated personnel of the Buyer at the FCT-IDA training facility in Garki, Abuja. Training shall cover Actor PLC programming, HMI configuration, sensor calibration, preventive maintenance procedures, and troubleshooting. Post-installation, the Seller shall provide remote technical support via a dedicated Actor support portal for a period of thirty-six (36) months, with a guaranteed response time of eight (8) business hours for critical faults.
This Purchase Order is governed by the laws of the Federal Republic of Nigeria and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved through arbitration in Abuja, Nigeria, in accordance with the rules of the Lagos Court of Arbitration. The Seller shall maintain comprehensive product liability and marine cargo insurance covering the full value of the Actor shipment from the point of origin to the final delivery point in Abuja, Nigeria. Neither party may assign its obligations under this Purchase Order without the prior written consent of the other party. Time is of the essence; failure to deliver the Actor equipment by the stipulated date shall entitle the Buyer to liquidated damages of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%. This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of Actor systems for use in Abuja, Nigeria, and supersedes all prior negotiations, representations, or agreements.
