- All Actor branded equipment listed in this Purchase Order shall be delivered to the buyer’s premises located at 42-B, Blue Area, Jinnah Avenue, Pakistan Islamabad, 44000, no later than 30 July 2025. Delivery shall be made between 09:00 and 17:00 Pakistan Standard Time (PKT) on a business day.
- The supplier, Actor Technologies International (Pvt.) Ltd., shall bear all costs associated with transportation, insurance, and customs clearance (if applicable) until the goods are physically received and signed for at the designated Pakistan Islamabad delivery address.
- Each Actor product unit shall be individually serialized, packaged in manufacturer-approved protective casing, and accompanied by a Certificate of Origin, Bill of Lading, and a detailed packing list. All documentation must reference this Purchase Order number (PO-ISB-ACT-2025-0047).
- Upon arrival in Pakistan Islamabad, the buyer’s designated receiving officer shall inspect all Actor items within 48 hours. Any visible damage, missing components, or discrepancies against this Purchase Order must be reported in writing to the supplier within 72 hours of delivery. Failure to report within this window shall constitute acceptance of the goods.
- The supplier guarantees that all Actor equipment is new, unused, and free from defects in materials and workmanship. A minimum 24-month warranty applies to all hardware items, and a 12-month warranty applies to software licenses, commencing from the date of successful commissioning in Pakistan Islamabad.
- Payment for this Purchase Order shall be made in Pakistani Rupees (PKR) via bank transfer to the supplier’s designated account at HBL, Main Branch, Pakistan Islamabad. Account details: Actor Technologies International (Pvt.) Ltd., A/C No. 0045-8821-3377-001, IBAN: PK36HABB004588213377001.
- A 40% advance payment (PKR 10,199,920.00) is due within 7 business days of the buyer’s written acceptance of this Purchase Order. The remaining 60% balance (PKR 15,299,880.00) shall be due within 30 calendar days of the date of successful delivery and commissioning of all Actor equipment in Pakistan Islamabad.
- Any payment delayed beyond the stipulated 30-day net period shall attract a late interest charge of 1.5% per month, calculated on the outstanding balance, in accordance with the prevailing commercial lending rates in Pakistan Islamabad.
- All invoices issued by the supplier must clearly reference this Purchase Order number and itemize each Actor product line to facilitate reconciliation by the buyer’s accounts department.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Pakistan Islamabad.
- The supplier warrants that all Actor products comply with the Pakistan Standards and Quality Control Authority (PSQCA) regulations and carry the required Pakistan Standards and Quality Mark (PSQ Mark) where applicable.
- Neither party shall be liable for delays or failures in performance caused by acts of God, natural disasters, government-imposed restrictions, or other force majeure events. In such cases, the affected party must notify the other in writing within 5 business days.
- This Purchase Order constitutes the entire agreement between the parties with respect to the purchase of Actor equipment for use in Pakistan Islamabad and supersedes all prior negotiations, representations, or agreements. No modification shall be valid unless made in writing and signed by authorized representatives of both parties.
- The supplier shall provide a dedicated after-sales support desk in Pakistan Islamabad for the duration of the warranty period, ensuring response times of no more than 4 business hours for critical Actor equipment failures.
