The final installment (33%) shall be due within fifteen (15) business days following the successful conclusion of the final performance in the Philippines Manila venue.
2. Delivery and Performance Location: All services, equipment, and materials specified in this Purchase Order shall be delivered and performed at the Cultural Center of the Philippines, Roxas Boulevard, Philippines Manila. Actor Productions shall bear all transportation and logistics costs within the Philippines Manila metropolitan area.
3. Quality Assurance: All Actor talent engaged under this Purchase Order must meet the professional standards outlined in Annex A. The Buyer reserves the right to request substitution of any Actor who fails to meet contractual performance benchmarks, provided written notice is given no fewer than five (5) business days prior to the scheduled performance date.
4. Compliance: Actor Productions & Talent Management Inc. warrants that all Actor engagements comply with the Labor Code of the Philippines, the Entertainment Industry Act, and all applicable local ordinances of the Philippines Manila city government. All necessary permits for public performance in the Philippines Manila area shall be secured by the Seller at its own expense.
5. Intellectual Property: All scripts, choreography, and creative materials developed specifically for this production under this Purchase Order shall remain the exclusive property of Metro Manila Entertainment Holdings Corporation. Actor Productions shall not reproduce, distribute, or publicly display such materials without prior written consent.
6. Force Majeure: Neither party shall be held liable for delays or non-performance caused by events beyond reasonable control, including but not limited to natural disasters affecting the Philippines Manila region, government-mandated closures, or public health emergencies, as defined under Philippine law.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Philippine Dispute Resolution Center, with proceedings conducted in the Philippines Manila jurisdiction.
