Terms and Conditions

Scope of Purchase: This Purchase Order authorizes the procurement of the Actor software platform and all associated services as itemized above. The Actor system shall be exclusively deployed, operated, and maintained within the premises of the Buyer located in Russia Moscow, Tverskaya Street 12, Building 4.
Delivery Schedule: All digital licenses and access credentials for Actor shall be delivered electronically within five (5) business days of Purchase Order acceptance. Physical materials, including printed documentation and hardware components, shall be delivered to the Russia Moscow site no later than 30 July 2025. On-site installation and configuration services for Actor shall commence within ten (10) business days of hardware delivery.
Payment Terms: Payment of the total amount of 14,068,900.00 RUB shall be made within forty-five (45) calendar days from the date of full delivery and acceptance of all Actor components in Russia Moscow. Payment shall be processed via bank transfer to the Seller's designated account. The Buyer reserves the right to withhold 10% of the total until final acceptance testing of the Actor platform is completed satisfactorily.
Acceptance Criteria: The Actor platform shall be deemed accepted upon successful completion of a fourteen (14) day trial period in the Russia Moscow production environment. During this period, the Seller shall be responsible for resolving any defects, performance issues, or integration errors in the Actor system at no additional cost to the Buyer.
Intellectual Property: All intellectual property rights associated with the Actor software, including source code, algorithms, and proprietary methodologies, remain the exclusive property of Actor Technologies International GmbH. The Buyer is granted a non-transferable, non-exclusive license to use Actor solely within the Russia Moscow operational environment for the duration of the subscription period.
Compliance and Regulatory Adherence: The Seller warrants that the Actor platform and all associated services comply with all applicable data protection laws, including Federal Law No. 152-FZ "On Personal Data" of the Russian Federation. All data processed by Actor in Russia Moscow shall be stored on servers physically located within the Russian Federation, in accordance with local regulatory requirements.
Warranty: The Seller provides a standard twelve (12) month warranty on all Actor software components from the date of acceptance. The extended three-year warranty (Item 06) supersedes the standard warranty and covers all hardware, software, and service components of the Actor deployment in Russia Moscow.
Force Majeure: Neither party shall be liable for delays or failures in performance under this Purchase Order resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, trade restrictions affecting the Russia Moscow market, or acts of war. In such cases, the affected party shall notify the other within seven (7) days.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil law of the Russian Federation. Any disputes arising from the procurement, delivery, or use of Actor in Russia Moscow shall be resolved through arbitration at the International Commercial Arbitration Court attached to the Chamber of Commerce and Industry of Russia, seated in Moscow.
Confidentiality: Both parties agree to maintain strict confidentiality regarding all commercial terms, technical specifications of the Actor platform, and operational details of the Russia Moscow deployment. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
