This Purchase Order is issued by Northern Lights Performing Arts Group LLC, a professional theatrical and performing arts organization headquartered in Saint Petersburg, Russia, for the acquisition of the Actor Professional Stage Production and Performance Management System. The Actor system is a comprehensive integrated platform designed for the management, orchestration, and execution of live theatrical performances, including automated lighting control, sound engineering integration, stage automation, and real-time performance analytics. The Actor system will be deployed at the buyer's primary venue located at 12 Fontanka Embankment, Saint Petersburg, Russia, and will serve as the central technological backbone for all productions staged at this location.

Delivery Location: Northern Lights Performing Arts Group LLC, 12 Fontanka Embankment, Building 4, Saint Petersburg, 191025, Russia. All Actor system components shall be delivered to the specified address in Saint Petersburg, Russia, where the buyer's technical team will receive and inspect the goods.

Delivery Deadline: All items listed in this Purchase Order must be delivered no later than 30 September 2025. The Actor Core Processing Unit and primary hardware modules (Items 01 through 05) shall arrive no later than 15 September 2025 to allow sufficient time for installation and calibration prior to the buyer's autumn theatrical season.

Incoterms: CIF (Cost, Insurance, and Freight) Saint Petersburg, Russia, in accordance with Incoterms 2020. The seller shall bear all costs and risks associated with international transportation, customs clearance in the Russian Federation, and insurance of the Actor system components until delivery at the named port of destination in Saint Petersburg.

Customs and Import Compliance: The seller shall provide all necessary documentation for customs clearance within the Russian Federation, including commercial invoices, packing lists, certificates of origin, and any technical compliance certificates required for the import of professional audio-visual and stage automation equipment into Russia. The buyer shall be responsible for payment of any applicable import duties and customs fees levied by the Federal Customs Service of Russia.

Payment Schedule:
- 30% advance payment (RUB 5,364,300.00) due within 10 business days of the acceptance of this Purchase Order by both parties.
- 50% progress payment (RUB 8,940,500.00) due upon confirmation of shipment and presentation of the Bill of Lading for the Actor system components.
- 20% final payment (RUB 3,576,200.00) due within 15 business days following successful installation, commissioning, and acceptance of the complete Actor system at the Saint Petersburg venue.

Payment Method: Wire transfer to the seller's designated bank account. All payments shall be made in Russian Rubles (RUB) to the following account: Actor Technologies International GmbH, Bank: Deutsche Bank AG, IBAN: DE89 3704 0044 0532 0130 00, BIC/SWIFT: DEUTDEFF. The buyer shall bear any intermediary bank charges associated with international transfers.

Upon arrival at the delivery address in Saint Petersburg, Russia, the buyer's technical team shall have a period of 10 business days to inspect and test all Actor system components. The buyer shall issue a written Acceptance Certificate or a Notice of Non-Conformity within this period. Any defects, missing items, or non-conformities identified during inspection shall be remedied by the seller at the seller's sole cost, including re-shipment of replacement Actor components to Saint Petersburg, Russia.

The seller warrants that all Actor system hardware and software delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of 36 months from the date of acceptance. The seller grants the buyer a perpetual, non-transferable license to use the Actor proprietary software exclusively at the buyer's venue in Saint Petersburg, Russia. All intellectual property rights in the Actor system, including but not limited to software code, firmware, and design documentation, remain the exclusive property of Actor Technologies International GmbH.

This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes arising out of or in connection with this Purchase Order, including disputes relating to the delivery, installation, or performance of the Actor system in Saint Petersburg, Russia, shall be resolved through amicable negotiation. If negotiation fails within 30 days, the dispute shall be submitted to the Arbitration Court of the Saint Petersburg and Leningrad Region for final and binding resolution.

This Purchase Order constitutes the entire agreement between the buyer and the seller with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements. No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. The seller shall not assign or subcontract any obligations under this Purchase Order without the prior written consent of the buyer. Force majeure events, including but not limited to natural disasters, government sanctions, or international trade restrictions affecting the Russian Federation, shall relieve the affected party from performance obligations for the duration of such event, provided that written notice is given within 5 business days.
