All Actor system components shall be delivered to the Al-Shati Grand Theatre premises located at King Fahd Road, Al-Shati District, Saudi Arabia Jeddah, 23412. The supplier, Actor Global Technologies GmbH, shall bear all shipping, customs clearance, and inland transportation costs within the Kingdom of Saudi Arabia. Delivery is scheduled no later than 30 September 2025. Installation and commissioning of the Actor system shall be completed within 45 calendar days of delivery, with all work performed in strict compliance with Saudi Building Code, Civil Defense regulations, and the technical standards mandated by the General Entertainment Authority (GEA) of Saudi Arabia Jeddah.
- A 30% advance payment (SAR 1,859,550.00) shall be remitted via irrevocable letter of credit issued by Al-Rajhi Bank, Jeddah Branch, within 10 business days of mutual acceptance of this Purchase Order.
- A 50% progress payment (SAR 3,099,250.00) shall be due upon successful delivery and physical inspection of all Actor equipment at the Jeddah site.
- The remaining 20% balance (SAR 1,239,700.00) shall be payable within 45 days of final commissioning, sign-off, and issuance of the Certificate of Completion by the buyer's technical team.
- All payments shall be made in Saudi Riyals (SAR) to the supplier's designated account. The exchange rate shall be fixed at the rate prevailing on the date of this Purchase Order (1 EUR = 3.85 SAR).
- Late payments shall attract a penalty of 1.5% per month, in accordance with Saudi commercial law.
The supplier warrants that all Actor products and services delivered under this Purchase Order shall be new, free from defects in material and workmanship, and fully compliant with the technical specifications outlined in Annex A (attached separately). The Actor system shall carry a minimum 3-year comprehensive warranty covering parts, labor, and on-site technical support within the Kingdom of Saudi Arabia, with a guaranteed response time of 24 hours for critical failures at the Saudi Arabia Jeddah installation site. All intellectual property rights associated with the Actor software, firmware, and proprietary technology remain the exclusive property of Actor Global Technologies GmbH. The buyer is granted a perpetual, non-transferable license to operate the Actor system solely at the designated venue in Saudi Arabia Jeddah.
This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from or in connection with the supply, installation, or operation of the Actor system shall be resolved through amicable negotiation. Failing resolution within 30 days, the matter shall be referred to the Saudi Center for Commercial Arbitration (SCCA) in Jeddah, and the award shall be final and binding upon both parties.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Actor Professional Performance and Production System, to be installed and operated in Saudi Arabia Jeddah. This document constitutes a binding commercial agreement upon execution by both authorized signatories.
