All Actor products and associated services referenced in this Purchase Order shall be delivered to the buyer's primary manufacturing facility located at 142 Rivonia Road, Sandton, Johannesburg, 2196, South Africa. Delivery is scheduled no later than 30 July 2025. The seller, Actor Global Technologies, shall bear all risk of loss and damage to the goods until they are physically received and signed for by the buyer's designated site supervisor in Johannesburg. All freight, insurance, and customs clearance (where applicable for imported Actor components) shall be the responsibility of the seller. The delivery vehicle must be equipped with appropriate shock-absorbing cradles to protect the precision Actor actuator units during transit within the Johannesburg metropolitan area.
- Acceptance: This Purchase Order constitutes a binding offer. Acceptance by the seller, Actor Global Technologies, is confirmed by written acknowledgment or by commencing delivery of the Actor product line to the Johannesburg site.
- Payment: Full payment of R 4,538,460.00 (inclusive of 15% VAT as per South African tax law) shall be due within thirty (30) calendar days of the date of the tax invoice issued by the seller. Payment shall be made via electronic funds transfer (EFT) to the seller's designated bank account in South Africa.
- Quality Assurance: All Actor units must comply with SANS (South African National Standards) 10142 for industrial actuators and IEC 60034 for electrical safety. The buyer reserves the right to reject any Actor component that fails to meet the specified performance tolerances upon arrival in Johannesburg.
- Warranty: The seller warrants that all Actor products are free from defects in materials and workmanship for a minimum period of three (3) years from the date of installation in Johannesburg, South Africa. The extended warranty and annual maintenance contract (Line 7) shall be administered by Actor Global Technologies' Johannesburg service centre.
- Intellectual Property: All proprietary Actor software, firmware, and control algorithms embedded in the SmartControl modules remain the intellectual property of Actor Global Technologies. The buyer is granted a non-transferable, site-specific licence to use the Actor software exclusively at the Johannesburg facility.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to load-shedding (planned electricity outages) affecting the Johannesburg industrial zone, natural disasters, or government-mandated restrictions in South Africa.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the High Court of South Africa, Gauteng Division, Johannesburg.
- Compliance: The seller confirms that all Actor products comply with the Occupational Health and Safety Act (Act 85 of 1993) of South Africa and all applicable environmental regulations enforced by the Department of Forestry, Fisheries and the Environment in the Gauteng province.
