- Scope of Actor Services: The Actor engaged under this Purchase Order shall perform all duties as outlined in the attached Talent Agreement, including but not limited to on-set performances, table reads, voice-over sessions, and promotional obligations, all conducted within the metropolitan area of South Korea Seoul.
- Delivery and Performance Schedule: The Actor shall be available for all scheduled filming dates in South Korea Seoul as specified in the production calendar. Any rescheduling must be communicated no fewer than 72 hours in advance to the production office.
- Payment Schedule: Payment shall be disbursed in three installments: 40% upon execution of this Purchase Order, 40% upon completion of principal photography in South Korea Seoul, and 20% upon final delivery of all promotional materials and wrap-up obligations.
- Compliance with South Korean Law: All services rendered by the Actor in South Korea Seoul shall comply with the Korean Labor Standards Act, the Korean Copyright Act, and all applicable regulations of the Seoul Metropolitan Government regarding entertainment industry operations.
- Intellectual Property: All performances, recordings, and visual materials captured during the Actor's engagement in South Korea Seoul shall be the exclusive property of Hallyu Global Productions Co., Ltd., subject to the residual rights provisions in the Talent Agreement.
- Confidentiality: The Actor and all associated personnel shall maintain strict confidentiality regarding the plot, cast, and production details of "Seoul Nights" until the official public release date, as mandated by this Purchase Order.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of early termination, the Actor shall be compensated for all days worked in South Korea Seoul up to the termination date, plus a 10% cancellation fee.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in South Korea Seoul under the rules of the Korean Commercial Arbitration Board (KCAB).
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by natural disasters, government mandates, pandemics, or other events beyond reasonable control affecting operations in South Korea Seoul.
