Terms and Conditions of this Purchase Order

1. Acceptance: This Purchase Order becomes a binding contract upon written acceptance by Actor Produccions Artístiques S.L. within five (5) business days of the date of issue. Failure to respond within this period shall constitute automatic acceptance under the commercial code of Catalonia, Spain Barcelona.
2. Payment Terms: Payment shall be made in three (3) installments: 40% upon signing of this Purchase Order, 35% upon completion of the rehearsal period (30 October 2025), and the remaining 25% within thirty (30) days following the final performance on 30 November 2025. All payments shall be made via bank transfer to the account designated by Actor Produccions Artístiques S.L.
3. Performance Location: All services, rehearsals, and performances under this Purchase Order shall take place exclusively in Spain Barcelona, at the Gran Teatre del Liceu (Carrer de Sant Pere, 10, 08002 Barcelona) and the designated rehearsal studios at the Teatre Nacional de Catalunya (Carrer de Llançol, 1, 08003 Barcelona).
4. Actor Obligations: Actor Produccions Artístiques S.L. shall ensure that all contracted Actor personnel hold valid work permits for performance in Spain, maintain professional liability insurance throughout the production run, and comply with all labor regulations of the Generalitat de Catalunya and the Spanish Ministry of Labour.
5. Quality and Standards: All costumes, makeup, and performance services shall meet the professional standards expected of a national-level theatrical production in Spain Barcelona. The Buyer reserves the right to request revisions to costume designs and makeup applications during the rehearsal period at no additional cost.
6. Substitution of Actor: Should any contracted Actor be unable to perform due to illness or force majeure, Actor Produccions Artístiques S.L. shall provide a substitute of equivalent or superior caliber within forty-eight (48) hours, subject to the Buyer's written approval. No substitution shall be permitted for the Lead Actor role without prior mutual agreement.
7. Intellectual Property: All promotional materials, recordings, and visual content produced under this Purchase Order shall be jointly owned by both parties. Actor Produccions Artístiques S.L. grants the Buyer a non-exclusive license to use such materials for marketing purposes within Spain Barcelona and the broader Spanish cultural circuit.
8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate Actor Produccions Artístiques S.L. for all services rendered and materials procured up to the date of termination, plus a cancellation fee of 15% of the remaining contract value.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Spain, with exclusive jurisdiction vested in the courts of Barcelona, Spain Barcelona.
10. Confidentiality: Both parties agree to maintain strict confidentiality regarding the financial terms of this Purchase Order and any proprietary production materials exchanged in connection with the engagement of the Actor company.
