This Purchase Order is issued by Estudios Digitales del Sur S.L. for the acquisition of the Actor digital production platform, a comprehensive suite of virtual actor creation, motion-capture integration, and real-time rendering tools. All hardware components listed under Item 3 shall be delivered to the buyer’s facility at Calle de Serrano 128, 28006 Madrid, Spain, no later than 15 August 2025. Software licenses (Items 1, 2, and 6) shall be activated electronically within five (5) business days of the buyer’s written confirmation of receipt of this Purchase Order. The on-site training (Item 4) is scheduled for the week commencing 1 September 2025 at the Madrid studio. The seller, Actor Technologies Iberia S.A., is responsible for all shipping, customs clearance (if applicable for imported components), insurance, and installation within the Madrid metropolitan area. Delivery is on DDP (Delivered Duty Paid) terms as defined in Incoterms 2020.
- Payment Schedule: 40% advance payment (€193,672.60) due within 15 business days of the date of this Purchase Order. The remaining 60% (€290,508.90) shall be due within 30 days of the successful completion of installation, calibration, and the first training session in Madrid.
- Payment Method: Bank transfer (SEPA) to the seller’s account: IBAN ES91 2100 0418 4502 0005 1332, BIC/SWIFT: CAIXESBBXXX, held at CaixaBank, Madrid branch.
- Late Payment: In the event of late payment, interest shall accrue at the rate established under Article 20 of the Spanish Law 3/2004 on Measures to Combat Late Payment in Commercial Transactions (Ley 3/2004, de 29 de diciembre, de medidas contra la morosidad en las operaciones comerciales).
- Disputes: Any dispute arising from this Purchase Order shall be resolved through the competent courts of Madrid, Spain, in accordance with the Spanish Civil Code and the applicable provisions of the Spanish Commercial Code (Código de Comercio).
Actor Technologies Iberia S.A. warrants that all Actor software products and hardware components delivered under this Purchase Order shall be free from material defects in design, materials, and workmanship for a period of twenty-four (24) months from the date of delivery in Madrid. The buyer shall retain all intellectual property rights in any original creative content produced using the Actor platform. The seller grants the buyer a non-exclusive, non-transferable license to use the Actor software solely within the buyer’s Madrid production facility and for the purposes described herein. This Purchase Order is governed by the laws of the Kingdom of Spain, and both parties irrevocably submit to the jurisdiction of the courts of Madrid for any legal proceedings.
