- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain, specifically the Comunitat Valenciana regional regulations applicable to cultural and entertainment venues in Valencia.
- Payment Terms: Payment shall be made via bank transfer (SEPA) within 30 days of receipt of a valid invoice from Actor Producciones Escénicas S.L. A 30% advance payment is due upon signature of this Purchase Order. The remaining balance shall be settled in two equal instalments: 50% upon completion of all physical deliveries and 50% upon successful completion of the final performance of the season.
- Delivery & Installation: All physical goods (costumes, set materials, lighting, sound equipment, props, and safety gear) shall be delivered to the designated locations in Valencia, Spain, as specified in the line items above. Installation and commissioning shall be completed no later than 25 August 2025 to allow for a full technical rehearsal period prior to the season opening on 01 September 2025.
- Quality & Compliance: All equipment and materials supplied by Actor must comply with current Spanish and European Union safety standards (CE marking where applicable). Costumes and set materials must meet the fire-safety regulations established by the Ayuntamiento de Valencia for public performance venues.
- Warranty: Actor Producciones Escénicas S.L. provides a minimum 12-month warranty on all manufactured goods and a 6-month warranty on all technical installations. Any defects discovered during the warranty period shall be remedied at no additional cost to the Buyer.
- Intellectual Property: All designs, patterns, and creative works produced by the Actor Division specifically for this Purchase Order shall remain the property of Teatro Principal de Valencia S.L. upon full payment. Actor retains the right to reference the work in its portfolio with prior written consent.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Valencia region.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Valencia, Spain, before submission to the competent courts of Valencia, Comunitat Valenciana, Spain.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, production schedules, and any proprietary information exchanged during the course of this engagement.
