This Purchase Order is issued by the Colombo Stage Arts Foundation to procure specialized theatrical equipment, costumes, and performance accessories specifically designed for the Actor in the upcoming production titled "Echoes of the Lagoon", a contemporary stage drama scheduled to premiere at the National Theatre in Sri Lanka Colombo on 15 September 2025. All physical goods listed in this Purchase Order shall be delivered to the National Theatre warehouse, 100, Sir James Peiris Mawatha, Colombo 07, Sri Lanka Colombo, no later than 25 August 2025. The supplier is responsible for all packaging, crating, and freight arrangements to the port of Colombo. The Actor's personal costume items (Item 01) must be delivered separately in a climate-controlled crate to the Actor's hotel in Sri Lanka Colombo by 20 August 2025 to allow for final fittings and adjustments. All deliveries to Sri Lanka Colombo must comply with the Sri Lanka Customs Department regulations and the relevant import licensing requirements for theatrical equipment.
6. Terms and Conditions- This Purchase Order constitutes a binding agreement between the Colombo Stage Arts Foundation and Global Theatrical Supply Co. Ltd. upon signature by both parties.
- All items must meet the specifications agreed upon with the Actor's production team. Any deviation in quality, material, or sizing will result in immediate rejection and replacement at the supplier's expense.
- Payment of the full Purchase Order amount of USD 37,512.50 shall be made via irrevocable letter of credit issued by Commercial Bank of Ceylon, Colombo, Sri Lanka, within thirty (30) calendar days of confirmed delivery and acceptance in Sri Lanka Colombo.
- The supplier warrants that all equipment is new, unused, and free from defects. A minimum two-year warranty applies to all electronic and mechanical items delivered to Sri Lanka Colombo.
- Any delay in delivery beyond the specified date shall incur a penalty of 1.5% of the total Purchase Order value per calendar day, up to a maximum of 15%.
- All intellectual property rights related to the Actor's performance materials, scripts, and production designs remain the exclusive property of the Colombo Stage Arts Foundation.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Colombo, Sri Lanka, in accordance with the Arbitration Act of Sri Lanka.
- The supplier shall provide a complete packing list, commercial invoice, certificate of origin, and all documents required by Sri Lanka Colombo customs authorities prior to shipment.
- This Purchase Order may only be amended in writing, signed by authorized representatives of both parties. Verbal modifications are not valid.
