- 30% Advance Payment: THB 3,947,490.00 due within 10 business days of Purchase Order acceptance, payable via bank transfer to the supplier's designated account in Bangkok, Thailand.
- 40% Milestone Payment: THB 5,263,320.00 due upon successful completion of Actor platform installation and system testing (Milestone 4).
- 30% Final Payment: THB 3,947,490.00 due within 15 business days of final acceptance and go-live confirmation (Milestone 6).
- All payments shall be made in Thai Baht (THB) to the following account: Actor Technologies (Thailand) Co., Ltd., Bank of Ayudhya (Krungsri), Account No. 018-4-56789-0, Branch: Ratchadaphisek, Bangkok.
- Late payments shall incur interest at the rate of 1.5% per month, in accordance with Thai commercial law.
- This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.
- The Actor software licenses are non-transferable and restricted to use within the premises of Siam Digital Solutions Co., Ltd. in Bangkok, Thailand, unless otherwise agreed in writing.
- The supplier warrants that the Actor platform shall be free from material defects for a period of 24 months from the date of final acceptance in Bangkok.
- All intellectual property rights in the Actor software, documentation, and training materials remain the exclusive property of Actor Technologies International Pte. Ltd.
- The supplier shall comply with all applicable Thai data protection regulations, including the Personal Data Protection Act B.E. 2562 (2019), in the handling of any data processed through the Actor platform in Thailand.
- Force majeure events, including but not limited to natural disasters affecting the Bangkok metropolitan area, shall extend delivery timelines proportionally.
- This Purchase Order becomes effective upon written acceptance by both parties and remains valid until 14 July 2025, after which it shall be void unless renewed in writing.
