This Purchase Order is issued by the Ankara Metropolitan Cultural Directorate for the procurement, delivery, installation, and commissioning of a complete Actor professional performance technology suite. The Actor system, manufactured by Actor Professional Systems International GmbH, is a comprehensive integrated platform encompassing stage lighting arrays, digital audio mixing consoles, LED video wall modules, automated rigging hardware, and the proprietary Actor Control Center software. The entire Actor installation is to be deployed at the Ankara State Opera and Ballet House (Ankara Devlet Opera ve Balesi) located in the Çankaya district of Turkey Ankara, as well as at the secondary venue, the Bilkent Odeon Theatre in the Çankaya municipality of Turkey Ankara.
The Actor equipment package has been selected following a competitive tender process conducted in accordance with the Turkish Public Procurement Law (Law No. 4734) and the Public Procurement Regulation. The Actor brand was determined to be the most technically suitable and cost-effective solution for the modernization of performance infrastructure in Turkey Ankara.

All Actor hardware and software components shall be delivered to the Ankara State Opera and Ballet House warehouse, located at Kızılay, Çankaya, Turkey Ankara, no later than 30 September 2025. The supplier, Actor Professional Systems International GmbH, shall bear all risk of loss until the Actor equipment is physically received and signed for by the designated receiving officer of the Ankara Metropolitan Cultural Directorate in Turkey Ankara.
Installation and commissioning of the Actor system at both the Ankara State Opera and Ballet House and the Bilkent Odeon Theatre in Turkey Ankara shall be completed within forty-five (45) calendar days following the date of physical delivery. The Actor Control Center software shall be fully integrated with the existing house management systems prior to the completion of the installation window.
Payment against this Purchase Order shall be made in the following installments via irrevocable letter of credit issued by Ziraat Bankası A.Ş., Ankara branch, Turkey Ankara:
- 30% advance payment (EUR 186,858.00) upon execution of this Purchase Order and issuance of the letter of credit.
- 50% progress payment (EUR 311,430.00) upon successful delivery and physical inspection of all Actor equipment at the Ankara receiving site in Turkey Ankara.
- 20% final payment (EUR 124,572.00) upon completion of installation, commissioning, and successful acceptance testing of the Actor system at both venues in Turkey Ankara, as certified by a joint inspection report signed by both parties.
Actor Professional Systems International GmbH warrants that all Actor hardware delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of thirty-six (36) months from the date of final acceptance in Turkey Ankara. The Actor Control Center software license includes five (5) years of priority technical support, with a guaranteed response time of four (4) business hours for critical faults affecting live performance operations at the Turkey Ankara venues.
This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any dispute arising out of or in connection with this Purchase Order, including the delivery, installation, or performance of the Actor system in Turkey Ankara, shall be resolved by binding arbitration administered by the International Arbitration Center of the Istanbul Chamber of Commerce (ICC Istanbul) in accordance with its rules. The seat of arbitration shall be Istanbul, Turkey. The language of arbitration shall be English.
The supplier acknowledges that the Actor equipment procured under this Purchase Order is intended for public cultural use in Turkey Ankara and shall comply with all applicable Turkish regulations, including but not limited to the Turkish Standards Institution (TSE) requirements, the Ministry of Trade import regulations, and the electrical safety codes enforced by the Ankara Provincial Directorate of Industry and Technology. The supplier shall provide all necessary documentation in both English and Turkish to facilitate customs clearance at Ankara Esenboğa International Airport.

No modification, amendment, or cancellation of this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both the Ankara Metropolitan Cultural Directorate and Actor Professional Systems International GmbH.
